Item 5 – Fees and Compensation

Fixed Fee: A fixed fee is charged for the preparation of a financial plan. Depending on the
complexity of the plan, the estimated time required, and the client’s ability to pay, the fee
range is $4,750 to $6,750. A deposit of $500 is due upon signing of the contract, with the
remainder due at the presentation of the plan.

Hourly Fee: Hourly fees on a specific topic range from $300-$400, are non-refundable, and
are due as contracted. The fee level is dependent on the nature of the request and the
ability of the client to pay.

Investment Management Services Fee: East Rock charges a fee based on Assets Under
Management (AUM). The fee schedule is:

0.75% for the first $1 million

0.50% on the balance between $1 million and $10 million

0.25% on the balance between $10 million and $15 million

0.10% for amounts greater than $15 million

Minimum Quarterly Fee: $4,000 for clients joining after March 2019

AUM fees will be payable quarterly, in advance, based upon a valuation of Account at the
beginning of the three-month period. Account valuation is the fair market value of
securities, cash, and cash equivalents under management. The first payment will be

prorated according to start date, with the valuation based on the start date. Upon
termination by either party, fees paid in advance will be prorated to the date of termination,
and East Rock will refund to clients any unearned portion. East Rock may change the fee
schedule at any point after the first 12 months of the Agreement, effective upon thirty days’
advanced notice to clients of such change. The client agreement is subject to cancellation
upon thirty (30) days’ written notice by either the client or East Rock.

East Rock, in its sole discretion, may charge a lesser fee based upon certain criteria, such as
having become a client when East Rock’s fees were lower, or in anticipation of future
additional assets.

Lower fees for comparable services may be available from other sources. In limited
circumstances, fees are negotiable.

The specific manner in which fees are charged by East Rock is established in a client’s
written agreement with East Rock.

East Rock’s fees are exclusive of brokerage commissions, transaction fees, and other related
costs and expenses which shall be incurred by the client. Clients may incur certain charges
imposed by custodians, brokers, third-party investment, and other third parties such as
fees charged by managers, custodial fees, deferred sales charges, odd-lot differentials,
transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on brokerage
accounts and securities transactions. Mutual funds and exchange traded funds also charge
internal management fees, which are disclosed in a fund’s prospectus. Such charges, fees
and commissions are exclusive of and in addition to East Rock’s fee, and East Rock shall not
receive any portion of these commissions, fees, and costs.

Item 12 further describes the factors that East Rock considers in selecting or
recommending broker-dealers for client transactions and determining the reasonableness
of their compensation, such as commissions.

East Rock offers investment management services and financial planning to individuals,
high-net-worth individuals, trusts, estates, and charitable institutions.

East Rock requires a minimum quarterly fee of $4,000 for clients joining after March 2019.
