Item 5 – Fees and Compensation HOW WE ARE COMPENSATED FOR OUR ADVISORY SERVICES Asset Management Emerald has tiered fee schedules for asset management for both discretionary and non- discretionary accounts. Fees are billed quarterly in advance based on the value of the client’s account on the last day of the previous calendar quarter, as reported by the client’s custodian. Fees are generally negotiable depending on the account size, client’s needs, complexity of the client’s situation, and the client’s individual investment advisory agreement. As such, fees for the same or similar services may vary from client to client. In addition, accounts that are managed in accordance with a cash management strategy may have different fee schedules than the asset management fee schedules. Generally, the fee schedules for managed accounts are as follows: Asset Management Max Fee Rates Household Size Up to $500,000.00 1.45% $500,001 - $1,000,000 1.35% $1,000,001 - $2,000,000 1.25% $2,000,001 - $5,000,000 1.15% Over $5,000,000 1.00% Cash Management Max Fee Rates Money Market Only 0.25% Money Market, CDs & ST Fixed Income 1.00% The initial fee for the first calendar quarter is based on the total principal amount initially invested and is payable upon execution of the investment advisory agreement. Fees for accounts established in the middle of a quarter are prorated for the remainder of the calendar quarter. Clients must generally provide authorization for us to automatically deduct our fees from their managed account(s) each quarter. Based on this authorization, we send our invoices directly to the client’s custodian. Each client will then receive a quarterly statement directly from their custodian (the statement may be made available electronically or mailed to the client’s address of record) that details the fees that were disbursed to us from the account, as well as other account level activity, including quarterly transactions, portfolio holdings, total securities and assets, and the valuations for each position held in the account, as reported by the custodian. Clients should verify the calculation of advisory fees deducted from their account based on the statement provided by the custodian. Financial Planning & Consulting We charge on an hourly or flat fee basis in arrears for our financial planning and consulting services. The total estimated fee, as well as the ultimate fee that we charge you, is based on the scope and complexity of our engagement with you. Our maximum hourly fee is currently $500. Flat fees generally range from $1,500 to $10,000 and are based upon the scope and complexity of the engagement. Fees for our financial planning and consulting services will be directly billed to you and will be due to us within thirty (30) days of your financial plan being delivered or consultation rendered to you. Pension Consulting We charge an hourly fee, flat fee or a fee based on a percentage of the plan assets for pension consulting services. The total estimated fee, as well as the ultimate fee that we charge you, is based on the scope and complexity of our engagement with you. Our maximum hourly fee is currently $500. Our flat fees for pension consulting services generally range from $750 to $10,000 and are based upon the scope and complexity of the engagement. Flat fees will be charged annually for ongoing pension consulting services. Fees based on a percentage of Plan Assets will be charged up to 1.50%. Fees are generally negotiable depending on the account size, client’s needs, complexity of the client’s situation, and the client’s individual investment advisory agreement. As such, fees for the same or similar services may vary from client to client We will directly bill for our pension consulting service. Our bill will be due and payable within thirty (30) days. Other Fees – Not Charged by or Paid to Emerald Asset Management, Inc. In addition to the fees paid to us, clients may also pay certain third-party transaction fees and expenses, such as custodian fees and expenses, brokerage commissions and fees and charges related to holding mutual funds and exchange traded products (“Funds”), including, as applicable, the Funds’ distribution fees (12b-1 fees), shareholder services fees, underlying Funds’ investment management fees. These Fund level fees are disclosed in the fund’s prospectus and increase client expenses and reduce the value of a client’s account. We do not receive these fees or charge these expenses. If client assets are custodied at Raymond James & Associates, Inc. (RJA), member New York Stock Exchange/SIPC, they do not pay custodial fees or commission fees for trades placed through RJA. Information regarding our brokerage practices can be found under Item 12 -Brokerage Practices below. Not all clients using the same strategy will pay identical transaction fees and expenses. Termination and Refunds Following Termination Clients may terminate their advisory relationship with us at any time by providing written notice. If a client terminates services during a billing period (e.g., quarterly) for which fees were paid in advance, we will calculate a pro-rata refund of any unearned advisory fees. The refund will be based on the number of days remaining in the billing period as of the effective date of termination. Refunds, if any, are generally processed and returned to the client within 10 business days of the effective date of termination. The effective date of termination is the later of (i) the date we receive the client’s written notice, or (ii) the date specified by the client in their termination notice.
