Item 5: Fees and Compensation
Encore does not currently have a general fee schedule. The fees, compensation, and expenses
applicable to the Encore Funds will be set forth in detail in the applicable Offering Documents. Encore
generally expects to receive compensation in connection with providing investment advisory services
to the Encore Funds in the form of: (1) fixed asset-based management fees payable quarterly in
advance and (2) annual performance-based compensation allocated on an annual basis at the end
of each fiscal year (or upon an investor’s withdrawal or redemption from the applicable Encore Fund).
Other Types of Fees or Expenses
At the Initial Closing, certain investors are expected to make a significant investment in the Fund
(the "Founder Investors") in exchange for the right to receive a portion of the Incentive Allocation
allocated to the General Partner. For the avoidance of doubt, in connection with the Founder
Investors' investments in the Fund, the Founder Investors will not have any governance rights
regarding (nor any responsibility for) the day-to-day management, compliance or investment
operations of the Fund, the Investment Manager or the General Partner, and will not be involved in
any investment decisions for the Fund.
Fees and compensation paid to Encore or its affiliates by the Encore Funds are generally deducted
from the assets of such clients. Management fees will generally be deducted quarterly in advance
and performance compensation will generally be deducted on an annual basis, in each case, as set
forth in the governing fund documents of the Encore Funds. Management fees and performance
compensation may be waived or modified in the sole discretion of Encore and/or its affiliates, as
applicable, including for investors who are affiliated with Encore.
With respect to fee refunds, information about how investors in the Fund withdraw or redeem interests
is set forth in the respective Offering Documents.
Encore Fund investors and prospective investors should refer to the applicable Offering Documents
for detailed information with respect to how fees are paid with respect to their assets. The information
contained herein is a summary only and is qualified in its entirety by such documents.

Item 7: Types of Clients
Encore expects to provide investment advisory services to pooled investment vehicles operating as
private investment funds. The minimum initial subscription for the Encore Funds will be $1,000,000.
These requirements generally can be waived at the discretion of the general partner or the board of
directors of the applicable Fund, subject to any statutory or regulatory minimum requirements.
