Item 5: Fees and Compensation

The fees applicable to each of the Funds are set forth in detail in the corresponding Offering Documents.
A brief summary of such fees is provided below.

Management Fee

The Funds will allocate to Subaccount associated with an Investor a Monthly Management Fee (the
“Management Fee”) to be paid in advance to the Firm or the Firm’s designee, equal to 1/12 of 2.00%
of the balance, as of the beginning of the applicable month, of the Capital Account associated with such
Fund’s Subaccount.

The Firm, in its sole discretion, may waive or modify the Management Fee for any Investor.

Performance Allocation

The General Partner will receive a Performance Allocation with respect to each Fund’s Subaccount
associated with an Investor an amount equal to 20% of the excess of the Net Profits of the Funds

The Firm, in its sole discretion, may waive or modify the Performance Allocation for any Investor.

Operating Expenses

The Funds (and, consequently, each Investor’s Capital Account) is responsible for the Operating
Expenses of the Funds and will bear (shared pro rata with Additional Funds, if any) the Operating
Expenses of the Master Fund, which generally include all expenses, liabilities, and other costs arising
out of or related to its operations. Operating Expenses are in addition to and independent of the
Management Fee and Performance Allocation.

Any person incurring Operating Expenses on behalf of the Funds may elect to waive such person’s right
to receive reimbursement from the Funds’ assets. In order to be effective, such a waiver must be
reflected in a writing signed by such person and indicating the particular Operating Expense for which
reimbursement rights are being waived.

The Firm will make all determinations regarding Operating Expenses, including whether a particular
item constitutes an Operating Expense.

Organizational Expenses

The Funds (and, consequently, each Investor’s Capital Account) is responsible for the Organizational
Expenses of the Funds and will bear (shared pro rata with Additional Funds, if any) the Organizational
Expenses of the Master Fund.

Our clients are the Funds as described in Item 4 above, and the Funds are generally open to, among
others, institutions, pension plans, endowments, high net-worth individuals, financially sophisticated
individuals, and other sophisticated investors.
