Item 5 – Fees and Compensation Investment Advisory Fees EQV Wealth Strategies offers fee-only advisory services and charges an annual fee of up to 1% based on assets under management. The firm may also implement fixed fees and retainer-based engagements. Pursuant to circumstances, fees could be subject to negotiation and EQV reserves the right to offer alternative fee schedules. The specific manner in which fees are charged and paid is established in a client’s written agreement with the firm. Clients are billed monthly in arrears on average daily balance. Clients may authorize EQV to directly debit fees from accounts managed by the firm or elect to be billed directly. Accounts initiated or terminated during a calendar quarter will be charged a prorated fee. Upon termination of any account, any prepaid, unearned fees will be promptly refunded. EQV’s fees are exclusive of brokerage commissions, transaction fees, and other related costs and expenses which shall be incurred by the client. Typically, clients may incur certain charges imposed by custodians, brokers, third party investment and other third parties such as fees charged by managers, custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions. Mutual funds and exchange traded funds also charge internal management fees, which are disclosed in a fund’s prospectus. Such charges, fees and commissions are exclusive of and in addition to EQV’s fee, and the firm shall not receive any portion of these commissions, fees, and costs. EQV seeks to minimize or avoid these costs wherever possible. Item 12 further describes the factors that EQV considers in selecting or recommending broker-dealers for client transactions and determining the reasonableness of their compensation (e.g., commissions). None of the firm’s access persons accepts compensation for the sale of securities or other investment products including asset-based sales charges or service fees from the sale of mutual funds. |

As an extension of this, EQV provides portfolio management services to individuals, high net worth individuals, corporations, small businesses, charitable institutions, and foundations. EQV’s minimum account size is typically $5,000,000; however, the firm reserves the right to waive this minimum. |
