Item 5: Fees and Compensation
Fees are generally negotiable, and determined as follows:
Ongoing Fixed-Fee Financial Planning Services: The fee for the Ongoing Fixed-Fee Financial
Planning Services engagement is a fixed annual amount established at the outset of the
engagement. The contract automatically renews each year, and the annual fee is subject to
change; provided the advisor gives the client thirty days’ written notice and the fee
adjustment subject to the client’s consent. The fee is based on the client’s total income,
assets, and their particular complexity in the areas of financial planning, investment
advisory services, and tax situation. Fees are prorated and paid on a quarterly basis, in
advance, with the first quarterly payment due upon execution of the engagement
agreement.
Fog City Advisors, LLC
Fees are deducted from an account designated by you to facilitate billing. You must consent
in advance to direct debiting of your investment account. Alternatively, you can choose
to pay your fee by check or Zelle. Clients elect the manner by which they pay their fees in
their advisory agreement. In the event of termination, prepaid but unearned client fees
will be promptly refunded on a pro-rata basis based upon the number of days remaining in
the quarterly billing period following the written notice of termination.
Limited Project Financial Planning: The fee for the Limited Project engagement is
established at the outset of the engagement. The fee is based on a projection of the
professional service time required to provide the services selected by the client. The fee is
payable at the conclusion of the engagement.
Financial Review: The fee for the Financial Review is a flat amount of $2400. The fee is
payable at the conclusion of the engagement.
Our Stand-Alone Asset Management Fees:
As disclosed in Item 4 of this brochure, Fog City Advisors, LLC has certain clients that
receive stand-alone investment management services. For these investment management
services, we charge a fee according to the market value of the assets under management
according to the following schedule:
Value of All Managed Accounts with Firm Per Quarter Annualized
Up to $250,000 0.3125% 1.25%
Next $750,000 0.2500% 1.00%
Next $4,000,000 0.1750% 0.70%
Over $5,000,000 0.1250% 0.50%
We, in our sole discretion, may charge a lesser investment advisory fee based upon certain
criteria (e.g., historical relationships, type of assets, anticipated future earning capacity,
anticipated future additional assets, dollar amounts of assets to be managed, related
accounts, account composition, negotiations with you, etc.).
Investment management fees are billed quarterly, in advance, meaning that we invoice you
before the three-month billing period has ended. Payment in full is expected upon invoice
presentation. Fees are usually deducted from an account designated by you to facilitate
billing. You must consent in advance to direct debiting of your investment account.
Alternatively, you can choose to pay your fee by check or Zelle. Clients elect how they pay
their fees in their advisory agreement.
Billing amounts are based upon the value (market value or fair market value in the absence
of market value) of the client's account(s) (including both securities and cash) at the end of

the previous quarter (or, for new clients, upon a date agreed to by us and you). Valuations
are derived from recognized and independent pricing sources, such as Charles Schwab
Institutional or by other custodians.
Each time our advisory fee is deducted from your account, we will send an invoice to the
custodian indicating the amount of the fee to be paid to Fog City. We will send you a
statement showing you the amount of the fee deducted, the value of your assets upon which
the fee was based, and the way the fee was calculated. It is your responsibility to verify the
accuracy of the fee calculation, as your custodian will not determine whether the fee is
properly calculated.
Upon receipt of a written notice to terminate the engagement, any prepaid but unearned
client fees will be promptly refunded on a pro-rata basis based upon the number of days
remaining in the quarterly billing period following the termination.
The Firm has legacy clients with existing engagements that have different service and/or
fee arrangements other than those described above which are no longer offered by the
Firm.
Other Fees or Expenses Paid in Connection with Advisory Services
Custodians. All fees paid to us for investment advisory and financial planning services are
separate and distinct from the fees and expenses charged by mutual funds and exchange
traded funds to their shareholders. Mutual fund and exchange traded fund expenses are
generally described in each fund's prospectus. Fund companies charge each fund
shareholder an investment management fee that is disclosed in the fund prospectus.
Expenses will generally include a management fee, other fund expenses, and possibly a
distribution fee. In addition, mutual funds incur transaction costs and opportunity costs,
which are not disclosed in the fund’s prospectus or Statement of Additional Information, but
which may be estimated.
Discount brokerages may charge a transaction fee for the purchase of some funds. You will
incur transaction fees or commissions in connection with trading of a mutual fund, ETF,
individual stock, and bonds (and/or principal mark-ups and mark-downs for principal
trades), which are charged by the custodian (brokerage firm holding safekeeping of your
assets for safekeeping). Accordingly, the client should review both the fees charged by the
