Item 5: Fees and Compensation
Please note, unless a client has received the firm’s disclosure brochure at least 48 hours prior to
signing the investment advisory contract, the investment advisory contract may be terminated by
the client within five (5) business days of signing the contract without incurring any advisory fees.
How we are paid depends on the type of advisory service we are performing and level of assets
invested. Greenway clients are either billed a fee based on a percentage of assets we are
managing, or a combination of a percentage of assets and a monthly fee. The services provided
are similar regardless of the fee arrangement chosen. Clients may also pay an hourly fee for
financial planning services. Please review the fee and compensation information below.
Investment Management and Comprehensive Financial Planning services ($500,000
minimum) - Traditional Fee Model
Our standard advisory fee is based on the market value of the assets under management and is
calculated as follows:

The annual fees are negotiable and are pro-rated and paid in arrears on a quarterly basis. The
advisory fee is a blended fee and is calculated by assessing the percentage rates using the
predefined levels of assets as shown in the above chart, and applying the fee to the average
account value for the prior quarter, with the exception of Held Away Accounts described later. No
increase in the annual fee shall be effective without agreement from the client by signing a new
agreement or amendment to their current advisory agreement.
Should we recommend utilization of an outside manager for investment advisory services, please
note that, under the traditional model, the outside manager’s fee is included.
Advisory fees are directly debited from client accounts, or the client may choose to pay by check
or electronic transfer. Accounts initiated or terminated during a calendar quarter will be charged a
prorated fee based on the amount of time remaining in the billing period. An account may be
terminated with written notice at least 30 calendar days in advance. Since fees are paid in arrears,
no rebate will be needed upon termination of the account.
Investment Management and Financial Planning Services ($0 minimum) - Hybrid Fee Model
For clients who don’t meet our $500,000 minimum, we offer advisory and financial planning
services via a hybrid fee consisting of a combined investment advisory fee and a monthly financial
planning fee. The standard advisory fee is based on the market value of the account and is
calculated as follows:

The Investment Management Fee is negotiable and is prorated and paid in arrears on a quarterly
basis based on the average account balance for the prior quarter. Should we recommend
utilization of an outside manager for investment advisory services, please note that, under the
hybrid model, our fee is separate and in addition to their compensation and will be described to
you prior to engagement.
The Comprehensive Financial Planning Fee is negotiable and paid in arrears on a monthly basis.
Fees for this service may be paid by electronic funds transfer, check, or credit card. This service
may be terminated with 30 days notice.
Accounts initiated or terminated during a calendar quarter will be charged a prorated fee based

Once Clients assets have reached $500,000 or more under management, Clients fees will
transition to our traditional fee structure listed above as soon as administratively feasible.
Held Away Account Services
We charge an annual fee for the services provided to Held Away Accounts, which is deducted from
an account under our Investment Management Service on a quarterly basis in arrears or by other
means such as invoicing. Fees are based on the assets within these accounts, and are charged as
part of Client’s traditional fee model or hybrid fee model, whichever is applicable, according to the
valuation of the accounts at the close of the quarter as valued by the account custodian.
Financial Planning Hourly Fee
Financial Planning fee is an hourly rate between $150.00 and $350.00 per hour, depending on
complexity. The fee may be negotiable in certain cases and is due at the completion of the
engagement. In the event of early termination by client, any fees for the hours worked will be due.
Fees for this service may be paid by electronic funds transfer, check, or credit card.

The annual fees are negotiable and are prorated and paid in arrears on a quarterly basis. The
advisory fee is calculated by assessing the percentage rates using the predefined levels of assets
