Item 5 Fees and Compensation
Management Fee
Advisory clients pay a quarterly advisory fee. Funds are billed each quarter in advance in an amount up to
0.50% (2% annualized) of the value of the assets under management as of the first calendar day of such
quarter. Fund fees are deducted from fund assets.
Separately managed accounts are billed each quarter in an amount up to 0.50% (2% annualized) of the value
of the assets under management. Accounts are typically billed in advance, as of the first calendar day of such
quarter; however, both the fee rate and timing of billing (advance/arrears) may be negotiable at Horton’s
discretion. Separately managed account fees are invoiced to clients and not deducted from separately
managed account assets.
To the extent that an investor withdraws all or a portion of their investment prior to the end of a quarter, the
investor’s account will be credited back any remaining prepaid management fee not earned by Horton.
Horton reserves the right to reduce or waive the advisory fee for or with respect to any calendar quarter or
part thereof; provided, however, that any such reduction or waiver shall not preclude Horton from increasing
or reinstituting the fee (but not in excess of the amount negotiated) at such later time as the Portfolio
Manager shall deem appropriate.
Additionally, all clients incur brokerage expenses, as discussed further in Item 12.

Incentive Fee
As discussed below under Item 6, Horton may be entitled to receive from clients a performance allocation of
not more than twenty percent (20%) of any net profit earned, subject to a “high water mark” and, in some
cases, a hurdle rate. This performance allocation reduces returns to clients and, depending upon the rate of
return earned on behalf of clients, it may constitute a higher total fee than is found in other investment
alternatives. The performance allocation may encourage more speculative investments and risk‐taking than
would otherwise be the case. Details regarding incentive fees for a particular engagement may be found in
the offering documents governing Funds and the investment management agreement governing a separately
managed account. These should be read carefully and understood by prospective investors prior to
committing funds.
Private Fund Expenses
The Funds shall pay all operating expenses not borne by Horton or HCP. Partnership expenses include costs
of borrowing money, legal, audit and accounting fees, insurance premiums, regulatory filing fees, custodial
and other fees, investment banking fees, commissions, and any other expenses directly related to the
purchase and sale of securities by or on behalf of a Fund and such other expenses as are to be borne by a
Fund pursuant to the Partnership Agreement. In addition, the Funds may pay, or reimburse HCP, Horton
and/or the Principals for costs and expenses reasonably related to the management of a Fund or its assets.
Details regarding the treatment of expenses for each Partnership are detailed in the limited partnership
agreement. All Fund offering documents should be read carefully and understood by prospective investors
prior to committing funds.
Other Terms
Horton, in its sole discretion, may enter into agreements (“Side Letters”) with certain large or strategic Fund
investors where Horton may waive or reduce management and performance fees and/or otherwise grant
more favorable terms which are not extended to other clients. |

Item 7 Types of Clients Our clients are high net worth individuals, institutional investors and private investment partnerships investing primarily in under‐covered, small‐ and micro‐cap securities. Horton generally requires investors in the Horton Capital Partners Fund, LP to invest a minimum initial subscription of $250,000 and investors in the Horton Freedom Fund, LP to invest a minimum initial subscription of $100,000, although investments for a lesser amount may be accepted at our discretion. Separately managed accounts typically require an initial investment of $500,000, although investments for a lesser amount may be accepted at our discretion. Investors in the Funds are required to qualify as accredited investors (as defined in Section 501 of the Securities Act of 1933) and qualified clients (as defined under Rule 205‐3 of the Investment Advisers Act of 1940). Separately managed account clients are required to qualify as accredited investors, qualified clients and qualified purchasers (as defined in Section 2 of the Investment Company Act of 1940). In order to participate in certain transactions, separately managed account clients also may be required to qualify as qualified institutional buyers (as defined under Rule 144A of the Securities Exchange Act of 1934). |
