ITEM 5: FEES AND COMPENSATION

A. Advisory Fees

Prior to engaging Khaveen Investments to provide advisory services, the client will be required to
enter into a written Investment Management Agreement with the Company setting forth the
terms and conditions and the fees under which it will render its services. Fees may be subject to
negotiation under certain circumstances as agreed on by the Company and the client. The following
schedule of fees outlines the typical fee structure under which Khaveen Investments renders its
services. The actual schedule of fees, as it applies to a particular client, will be clearly outlined in
the Investment Management Agreement. At times, a quotation may substitute an Investment
Management Agreement for certain services provided which will be required to be signed and

agreed upon by the client beforehand.

Fees for Investment Management Services

Khaveen Investments charges fees for its Investment Management Services in two ways:

 a) Management Fee: 1 % management fee is charged as an annualized percentage of the assets in
    the client’s account, calculated using the Net Liquidation Value (NLV) method. The fee is billed
    quarterly and prorated based on the daily average NLV of the client’s account for the
    corresponding quarter.

 b) Performance Fee: 20% performance fee is calculated based on the positive returns generated by
    the client’s account over each year. The performance fee is charged only when the portfolio
    delivers net gains, ensuring clients pay for results rather than standard management activities
    High Water Marking is applied to each calculation which keeps track of cumulative losses per
    billing period within the specified look-back period. A loss in any period will be added to the
    look-back period's cumulative losses. A gain in any period will decrease the cumulative loss
    recorded to date. Additionally, performance fees and management fees are deducted from the
    following year’s positive returns before calculating the performance fee of that year, ensuring
    fees are never double-charged.

The Company reserves the right to reduce or waive entirely its Investment Management Fees or
Performance Fees for client accounts, in the Company’s sole discretion. These include accounts held
by employees of the firm, their immediate family members, or other related parties, as part of a policy
to provide incentives for internal stakeholders. Furthermore, client accounts that maintain a minimum
balance of $1,000,000 are eligible to have part or all management fees waived as an incentive for
ultra high-net-worth clients and to recognize the significant assets under management. These
exceptions are subject to approval and outlined in the written agreement between the client and the
firm.

Fees for Investment Advisory Services

Fees for Investment Advisory Services are generally calculated on an hourly basis and are
customized depending on the type of services provided, the type of client, and the complexity and
scope of the engagement. The total fee charged reflects the amount of time required and the level
of expertise involved in delivering the services. Fees are calculated based on the hours worked by
Investment Advisors, Investment Analysts, and Investment Interns involved in the engagement.
The Company’s standard hourly rates are approximately $125 per hour for Investment Advisors,
$65 per hour for Investment Analysts, and $25 per hour for Investment Interns.

Because Investment Advisory Services vary significantly depending on the needs of each client,
total fees are tailored and may differ based on the size, type, and objectives of the client
engagement. Based on historical engagements and typical project scope, advisory services may

generally fall within the following ranges.

For individual clients, services may include investment research coverage, account consolidation
reporting, preparation of Investment Policy Statements (IPS), and personalized portfolio allocation
advisory. Fees for individual advisory engagements may generally range from less than $760 for
limited research or reporting requests, to approximately $1,265 to $2,530 for more comprehensive
services such as IPS preparation or portfolio allocation advisory.

For business clients, services may include market and competitive research, business presentations,
capital allocation advisory, financial modeling, and valuation services. Engagements for business
clients may generally range from less than $760 for limited research assignments, to approximately
$760 to $1,265 for capital allocation advisory, $1,265 to $2,530 for financial modeling
assignments, and approximately $3,800 to $16,450 or more for valuation services depending on
the scope and complexity of the engagement.

For institutional clients, services may include investment research coverage, portfolio risk and
performance analytics, strategic asset allocation and policy framework advisory, due diligence
support, and independent investment committee advisory. Institutional engagements typically
involve broader analytical scope and may generally range from $1,265 to $2,530 for Research,
Valuation & Due Diligence, $2,530 to $5,060 for Fund Structuring & Regulatory Setup, $5,060 to
$12,660 for Governance, Risk & Policy Frameworks, and $12,660 to $25,320 or higher for

ITEM 7: TYPES OF CLIENTS
Khaveen Investments serves a diverse range of clients, including high-net-worth individuals,
families, businesses, and institutions. The Company provides Investment Management Services on
a consistent basis across these client categories in accordance with the applicable portfolio mandate.
The minimum account size for Investment Management Services is generally $100,000. Investment
Advisory Services, however, are tailored based on the size, type, and specific needs of each client
engagement.

    a) High-Net-Worth Individuals and Families: The firm provides personalized wealth

       management services, including portfolio management, estate planning, retirement
       strategies, and tax optimization. These clients seek comprehensive, long-term financial
       planning and asset management to preserve and grow their wealth across generations.

   b) Businesses: Corporate clients benefit from Khaveen Investments’ expertise in financial
      advisory and valuation services, including financial modeling, strategic projections, and
      valuations for equity financing, debt financing, mergers and acquisitions (M&A), public
      offerings, and other significant business transactions. Additionally, the firm serves
      businesses seeking research services to expand into new markets. The Company’s in-depth
      market and industry research enable clients to identify opportunities, understand
      competitive landscapes, and make informed strategic decisions.

   c) Institutions: Institutional clients, such as enterprises, trusts, estates, pension funds,
      charitable organizations, foundations, unions, cooperatives, and other business entities rely
      on the firm’s investment management services. Khaveen Investments manages a globally
      diversified portfolio that meets their need for sustainable, risk-managed investment
      solutions.
