Item 5 Fees and Compensation
Las Olas Capital Advisers’ fees are based on the services provided. Fee rates are negotiable and outlined
in a written wealth management agreement executed with each client. Project based fees may be charged
where applicable to the services provided, such as corporate advising services, investment banking advice,
and non-transactional consulting.
Non-project client fees are generally charged quarterly in advance, although other arrangements may be
negotiated. LOCA typically submits the first invoice at the beginning of an engagement and bills clients on
a pro-rata basis for the days remaining in the quarter. Fees are directly deducted from clients’ investment
account.
A clients’ wealth management agreement can be cancelled at any time, by either party, as detailed in each
client’s agreement. Upon termination, fees are prorated based on the days remaining in the period and
LOCA refunds any prepaid, unearned fees.
The following is a summary of the fee arrangements for our primary advisory services:

• Wealth Management Services, Direct Investments
Las Olas Capital Advisors’ fee is based on services provided to the client, the amount of client
assets advised and the degree of complexity of the engagement. Advisory fees can be structured
as asset-based or flat annual retainers. Asset-based fee arrangements are guided by LOCA’s
standard asset-based pricing schedule, and fixed fee arrangements are based on the complexity
of the engagement and negotiated between LOCA and each client. Fees are generally charged
quarterly in advance.
• Financial Planning Services
Fixed/flat ranges from $4,000 to $12,000 depending on complexity. Hourly fees start at $350 per
hour, billed in 15-minute increments. Fee collection will be set forth in each client’s financial
planning agreement and generally will involve an initial portion of the fee to be due and payable
upon execution of the financial planning agreement, progress fees as work is performed, and any
remaining balance to be paid upon completion of the work. Specific services and fees related to
financial planning services will be addressed in each client’s financial planning agreement.
• Corporate Advising Services
Services for analysis of investment opportunities generally range between 1% and 7% of the value
of the transaction evaluated and are billed according to an engagement agreement. The fee will be
based on services rendered from time to time as provided in a written invoice, which will depend
on the nature and complexity of each client's circumstances. Las Olas Capital Advisors will quote
the client a fee that is based on the estimate of the time it will take to complete the project. Billing
periods may be monthly, quarterly, or annually.
• Investment Banking Advice
Specific services and fees related to investment banking advice will be addressed in an
engagement agreement. Fees for investment banking advice services are negotiated at Las Olas
Advisors' discretion depending on the complexity and scope of each engagement. Fees will be
invoiced as outlined in each client’s agreement. Fees are due upon receipt of the invoice.
General fee structure for investment banking advice:
o Engagement Fee $50,000
o Monthly Retainer Fee $25,000
• Non-Transactional Advice and Consulting
Non-Transactional Advice and Consulting fees vary based on the nature and complexity of the
project. The structure of the fee and payment details are outlined in the advisory or consulting
agreement executed with each client. Fees will be invoiced as outlined in each client’s agreement.
Fees are due upon receipt of the invoice.
Proprietary Private Fund Offerings
LOCA’s compensation associated with each proprietary private fund offering is unique based on the
specifics of the fund offering. Some examples of the different fee types that may be charged include, but
are not limited to, the following:
• Advisory fees on committed capital
• Annual investment management fees
• One-time closing fees, underwriting fees, portfolio construction fees
• Affiliated general partners also receive performance-based incentive fees
Potential investors should read and understand all private fund offering documents in their entirety prior to

making any investment decisions.
LOCA may, in its sole discretion, enter into arrangements with investors under which fees are reduced,
waived or calculated differently with respect to such investors, including investors that are members,
affiliates, or employees of the Firm or any affiliate.
Other Expenses: Include, but are not limited to, legal, accounting, tax, bank, custodial, insurance,
consulting, technology, marketing, professional service fees and syndication expenses. This additional
expense, if applicable, will be detailed (including the responsible party) in the Fund's subscription
agreements and/or other offering documents. You should refer to the subscription agreement and other
offering documents of the Funds for a complete description of the fees, investment objectives, risks, and
other relevant information associated with investing in the Funds. Dispositions will be made in accordance

These services may be offered through our Wrap Program.
