Item 5 Fees and Compensation Investment Advisory Fees The annual fee is based on a percentage of the investable assets, determined by the highest applicable tier, as follows: a flat 1.25% on all assets up to $999,999.99, a flat 1.00% on all assets $1,000,000 to $1,999,999.99, a flat 0.80% on all assets $2,000,000 to $4,999,999.99, and a flat 0.50% on all assets $5,000,000 and above. Once investable assets reach a new tier, the entire assets are subject to the corresponding flat rate. If the investable assets fall below a threshold, the corresponding flat rate adjusts accordingly. The minimum annual fee is $6,250 and minimum account size is $500,000. These minimums are negotiable based upon certain criteria (e.g., if the client is in full-time Christian ministry, has charitable intent with his or her estate, historical relationship, type of assets, anticipated future earning capacity, anticipated future additional assets, dollar amounts of assets to be managed, related accounts, account composition, negotiations with clients, etc.). This fee will be collected quarterly in arrears based on the ending balance on the last day of the previous quarter and will be directly debited from your account. Current client relationships may exist where the fees are higher or lower than the above fee schedule. Although the relationship operates under an ongoing agreement and constant adjustments are required, the length of service to the client is at the client's discretion. The client or the investment manager may terminate an Agreement by written notice to the other party. At termination, fees will be billed on a pro rata basis for the portion of the quarter completed. The portfolio value at the completion of the prior full billing quarter is used as the basis for the fee computation, adjusted for the number of days during the billing quarter prior to termination. There will be no refunds of fees since we bill in arrears. Advice offered by us may involve investment in mutual funds. Clients are hereby advised that all fees paid to us for investment advisory services are separate and distinct from the fees and expenses charged by mutual funds (described in each fund's prospectus) to their shareholders. These fees will generally include a management fee and other fund expenses. Further, there may be transaction charges involved with purchasing or selling of securities.
