ITEM 5 – FEES AND COMPENSATION
The description below of LIM’s fees and compensation is intended to provide a summary of LIM’s standard fee
structures, and it is not intended to depict every fee or compensation arrangement. LIM’s fees and compensation
for investment management and advisory services are charged at an annual rate, which is a percentage of the assets
under management in the portfolio based on a tiered or flat rate schedule. Custom fee structures are used to
accommodate customized portfolio strategies. LIM reserves the right to waive or reduce fees, including account
minimums, or whether a performance-based fee is charged, as appropriate. Fees are negotiable for mandates based
on considerations including their size, investment guidelines, servicing requirements, or overall relationship with
LIM. The annualized standard fee structure ranges by strategy are as follows:
• LIM’s asset-based fees for its fixed income strategies range from 0.05% to 0.35%.
• LIM’s asset-based fees for its absolute return strategies are 0.50% plus a performance incentive fee of 10%
of the annual return. Performance fees are not charged for periods of less than one year and are calculated
and billed annually.
• LIM’s asset-based fees for its equity strategies range from 0.25% to 0.60%.
• Custom fee structures may result in fee rates greater or less than the standard fee rates noted.

• The asset-based fees for LIM’s Core Plus Bond CIT different share classes range from 0.15% to 0.28%.
LIM assesses fees quarterly in arrears, unless a different arrangement is detailed in the client’s written investment
advisory/management agreement. Rates, calculation methodologies, and payment options are agreed upon with
clients and are incorporated into each client’s investment advisory agreement, including whether to use LIM
calculated values or portfolio values provided by the client’s custodian. Finally, a client’s fee agreement can
authorize LIM to withdraw the quarterly fee directly from its managed account. Clients are responsible for verifying
the accuracy of the management fee because its qualified custodian will not determine if the management fee
charged by us is calculated properly.
LIM’s advisory fees for the Core Plus CIT are negotiated with the trustee and may differ from fees charged to
separately managed accounts. Differences in fee structures may create potential conflicts of interest when LIM
manages multiple accounts investing similar strategies. LIM receives a portion of the clients’ fees for investment
advisory and administrative services. Clients that participate in the CIT pay a bundled fee that includes
compensation to the Trustee for the fiduciary, operational, and administrative services provided by the Trustee,
compensation to LIM for investment advisory and administrative services, and fund operating costs.
LIM’s model portfolio delivery fees are negotiated on a case-by-case basis and are typically paid quarterly in arrears.
The fees charged by LIM as the provider of the model do not include additional management fees, other expenses
charged by the unaffiliated Advisor, or their designated third party platform, if any.
LIM’s fees and compensation are exclusive of fees and expenses charged by custodians and broker-dealers to the
client’s account. This includes, but is not limited to, brokerage commissions, spread costs associated with fixed
income trading, transaction fees, interest on borrowings, borrowing charges for securities, and other trading costs
which are incurred in the management of the client’s account and paid by the client. Client accounts generally incur
charges imposed by custodians, brokers, and other third parties, such as custodial fees, transfer taxes, wire transfer
and electronic fund fees, underlying mutual fund or exchange traded fund fees, and other fees and taxes on
brokerage accounts and securities transactions. Such charges, fees, and commissions are exclusive of and in
addition to our management fee. LIM does not receive any portion of these commissions, fees, or charges. Refer
to Item 12 for a description of the factors considered in selecting or recommending broker-dealers for client
transactions and determining the reasonableness of their compensation.
Neither LIM nor any of the Firm’s supervised persons accept compensation for the sale of securities or other
investment products, including asset-based sales charges or service fees from the sale of mutual funds. |
