Item 5 – Fees and Compensation

Financial Planning Fees
FAM’s Financial Planning Services are provided on a complimentary basis and are not billed separately. The
client is under no obligation to act upon FAM’s financial planning recommendations. If the client elects to
act on any of the recommendations, the client is under no obligation to effect the transaction through FAM or
its representatives.

Investment Management Fees
FAM charges an annualized quarterly management fee, paid quarterly in advance, based on client’s assets
under management (“AUM”) as of the close of business on the last business day of the preceding calendar
quarter. The advisory fee is based on the prior quarter end value as reported by the client’s broker-dealer
custodian, multiplied by the advisory fee, divided by 360 and then multiplied by 90. In no case will a client
pay more than 2%.

For individually managed accounts, fees range from .50% to 1.40% dependent upon the scope of services desired by the
client. For those within the SWM Wrap Fee Program, clients will pay an all-inclusive wrap fee as a % of AUM,
which includes charges for advisory services, custody, clearing, transaction execution, and account reporting, and
will follow the fee schedule below:

Investment management fees will be debited from the client's account(s) as soon as practicable following the last
business day of each calendar quarter. Advisory fees are prorated based on the number of days that the account(s)

are open during the quarter. For the first payment, clients who open an account mid-quarter will be assessed an
advisory fee from the date of the engagement through the remainder of the quarter, which will be due on the first
full calendar month after the effective date of the client’s investment advisory agreement. Please note that
additional deposits of cash and/or any securities will be subject to the same billing procedures. In the event the
client’s agreement is terminated mid-quarter, client’s advisory fees will be prorated through the date of
termination and promptly refunded to client.

By signing FAM’s investment advisory agreement, the client agrees that Adviser may debit its investment
advisory fees directly from the client’s account(s) held at the qualified custodian. (Note: in most cases,
Adviser will pay for all transaction fees; in all cases, custodial fees will be paid by the client.)

FAM does not have a required minimum account size for Investment Management Services. Our fees are
subject to change at any time. Unless instructed otherwise by the client, for billing purposes only, the value
of a client’s AUM will be aggregated with the AUM values of client’s husband, wife, domestic partner, and
son(s) and daughter(s) (collectively, a “Household”), which will potentially lower the applicable Advisory
Fee assessed by FAM based on the Tiered Rate Fee Schedule. For family and friends of the Firm, Adviser
will discount its advisory fee for managing their accounts. For employees and spouses/domestic partners of
employees, FAM will waive its advisory fee for managing their accounts.

Retirement Plan Consulting
For Retirement Plan Consulting, FAM provides this on a complimentary basis and this service is not billed
separately. The client is under no obligation to act upon FAM’s retirement plan consulting or non-discretionary
investment recommendations. If the client elects to act on any of the recommendations, the client is under no
obligation to effect the transaction through FAM or its representatives.

Mutual Fund Share Class Disclosures
FAM strives to select the lowest cost share class available; however, certain mutual fund share classes charge a
12b-1 fee that generally amounts to an additional .25% expense ratio or more. The purpose of 12b-1 fees, as
approved by the SEC, are to cover marketing expenses and shareholder services such as support services and
“other expenses” such as legal, accounting and the administrative functions of the custodian. When selecting a
mutual fund, IARs have a fiduciary duty to choose the share class that helps manage the overall fee structure
of the account. The entire fee structure includes such fees as the asset management fee, the expense ratio and
ticket charges.

   •      Mutual funds typically offer multiple share classes, including lower-cost share classes that do
          not charge 12b-1 fees and are therefore usually less expensive.

   •      IARs will consider investing client funds in 12b-1 fee-paying share classes even when a lower-
          cost share class is available as appropriate to account for the overall fee structure and tax
          considerations as well as attributes of a fund not available for lesser fees.

Compensation for Sales of Securities
FAM does not receive commission compensation for advisory services. However, Investment Adviser
Representatives of FAM also are Registered Representatives of LPL Financial and sell securities for commission
compensation. This relationship creates a conflict of interest which is further described in Items 10 and 14.
