ITEM 7 TYPES OF CLIENTS Pooled Investment Vehicles. The Manager provides investment advice to PIVs. Interests in the PIVs are offered to investors that are “accredited investors” as defined in Section 501(a) of Regulation D under the Securities Act, as amended. The minimum investment for the PIVs is $100,000, as provided in the PIVs' Governing Documents, and can be waived by the General Partner or Manager. Private Fund. The Manager provides investment advice to a private fund. Interests in the Private Fund are offered only to investors that meet both of the following eligibility thresholds: the investor must be an “accredited investor” as defined in Section 501(a) of Regulation D under the Securities Act, as amended, and must also separately qualify as a “qualified client” under Rule 205-3 of the Investment Advisers Act of 1940, as amended (“Advisers Act”). Both standards must be satisfied. Insurance Companies. Additionally, the Manager provides investment advisory services to the affiliated Insurance Companies, Marquette Indemnity and Life Insurance Company and LYNK Reinsurance SPC. Redemption and Withdrawal Restrictions. Interests in the Funds are illiquid and subject to significant transfer and redemption restrictions as described in the Governing Documents. Limited Partners generally may not voluntarily withdraw from the Funds, and redemptions are available only on a limited, periodic basis subject to aggregate and per- investor caps, advance notice requirements, and early redemption discounts for short holding periods. The General Partner has discretion to defer or refuse redemptions if they would breach the Fund’s leverage limitations or adversely impact liquidity. These restrictions create conflicts of interest because: (i) the Manager controls the NAV at which redemptions are priced and has discretion over fair value determinations (see Item 6 - Performance-Based Fees and Side-By-Side Management); (ii) the General Partner’s authority to defer or refuse redemptions may be exercised in circumstances where the Manager’s interest in retaining assets under management conflicts with an investor’s desire for liquidity; and (iii) early redemption discounts reduce the amount received by redeeming investors. Prospective investors should carefully review the applicable Governing Documents for complete redemption and withdrawal terms. |
