Item 5: Fees & Compensation

Our annual fees for Investment Supervisory Services are based upon a percentage of assets under
management and generally range from .25% to 2.00%.

The annualized fee for Investment Supervisory Services are charged as a percentage of
assets under management, according to the following schedule:

Fees to be assessed will be outlined in the advisory agreement to be signed by the client.
Annualized fees are billed on a pro-rata basis monthly or quarterly in advance or arrears at the

end of each calendar month or quarter based upon the value (market value or fair market value in
the absence of market value) of the client's account. Fees will be debited from the account in
accordance with the client authorization in the Client Services Agreement. In rare cases, our firm
will agree to directly invoice. As part of this process, clients understand the following:

    a) The client’s independent custodian sends statements at least quarterly showing the market
       values for each security included in the Assets and all account disbursements, including the
       amount of the advisory fees paid to our firm;
    b) Clients will provide authorization permitting our firm to be directly paid by these terms. Our
       firm will send an invoice directly to the custodian; and
    c) If our firm sends a copy of our invoice to the client, a legend urging the comparison of
       information provided in our statement with those from the qualified custodian will be
       included.

A minimum of $50,000 of assets under management is required for this service. This account size
may be negotiable under certain circumstances. Mezzasalma Advisors may group certain related
client accounts for the purposes of achieving the minimum account size and determining the
annualized fee. Under certain circumstances, and at the discretion of the CCO, we may waive the
minimum requirement.

Our firm charges a flat fee for financial planning and consulting services. The total estimated fee,
as well as the ultimate fee charged, is based on the scope and complexity of our engagement with
the client. Flat fees range from $500 to $10,000. Fee-paying arrangements are determined on a
case-by-case basis and will be detailed in the signed consulting agreement. Our firm will not
require a retainer exceeding $1,200 when services cannot be rendered within 6 months.

Our Retirement Plan Consulting services are billed based on the percentage of Plan assets under
management. The total estimated fee, as well as the ultimate fee charged, is based on the scope
and complexity of our engagement with the client. Fees will not exceed 1.50%. The fee-paying
arrangements for Retirement Plan Consulting service will be determined on a case-by-case basis
and will be detailed in the signed consulting agreement. Clients may be invoiced directly for the
fees, or fees may be deducted directly from client accounts.

Limited Negotiability of Advisory Fees

Although Mezzasalma Advisors has established the aforementioned fee schedule(s), we retain the
discretion to negotiate alternative fees on a client-by-client basis. Client facts, circumstances and
needs are considered in determining the fee schedule. These include the complexity of the client,
assets to be placed under management, anticipated future additional assets; related accounts;
portfolio style, account composition, reports, among other factors. The specific annual fee
schedule is identified in the contract between the adviser and each client.

We may group certain related client accounts for the purposes of achieving the minimum account
size requirements and determining the annualized fee.

Discounts, not generally available to our advisory clients, may be offered to family members and
friends of associated persons of our firm.

Termination of the Advisory Relationship

Either party may terminate the advisory agreement signed with our firm for Individual Portfolio
Management services in writing at any time. Upon notice of termination pro-rata advisory fees for
services rendered to the point of termination will be charged. If advisory fees cannot be deducted,
our firm will send an invoice for due advisory fees to the client.

Financial Planning & Consulting clients may terminate their agreement at any time before the
delivery of a financial plan by providing written notice and receive a full refund of any fee
prepayments. Either party may terminate this Agreement at any time by providing written
notice. Termination of this Agreement shall be effective upon receipt of notice. Client will not
receive a pro-rata invoice of incurred fees based on the time and
effort expended by Mezzasalma Advisors.

Either party to a Retirement Plan Consulting Agreement may terminate at any time by providing
written notice to the other party. Full refunds will only be made in cases where cancellation
occurs within 5 business days of signing an agreement. After 5 business days from initial signing,
either party must provide the other party 30 days written notice to terminate billing. Billing will
terminate 30 days after receipt of termination notice. Clients will be charged on a pro-rata basis,

Item 7: Types of Clients & Account Requirements

Our firm has the following types of clients:

    •    Individuals (other than high net worth individuals)
    •    High Net Worth Individuals
    •    Pension and Profit-Sharing Plans

Our firm generally requires a minimum account balance of $50,000 for clients to engage us for our
Individual Portfolio Management service. However, our firm may reduce or waive the minimum
account balance requirement at our sole discretion.
