Item 5 - Fees and Compensation

The fees and compensation applicable to each of the Funds are set forth in detail in the corresponding
Governing Documents. A brief summary of such fees is provided below.

In consideration of NDH’s investment advisory and other services, the Firm typically receives a
management fee from certain of the Funds, which is generally equal to a percentage of the total
capital commitments or net asset value of such Fund. The fee percentage and the base upon which
the fee is calculated generally varies with the size of the Fund and over the life of the Fund, as set
forth in the Fund’s Governing Documents. Management fees are billed one-time upfront at closing.

Management fees are typically funded with capital contributions drawn for such purpose but may
also be funded with or withheld from proceeds from investments.

In addition, affiliates of NDH, as the Managing Members of the Funds, typically receive certain
allocations and distributions calculated and charged based on a share of capital gains on or capital
appreciation of the assets of the applicable Funds, as set forth in a Fund’s Governing Documents.
These allocations and distributions are commonly known as “carried interest.”

Carried interest generally will be distributed to NDH’s affiliates from time to time upon the
disposition of investments by a Fund and are distributed to such affiliates in accordance with each
Fund’s Governing Documents.

Management fees and carried interest generally are not negotiable. However, NDH (or an affiliate)
has discretion to reduce or waive management fees and/or carried interest. Certain Investors,
including affiliates of the Firm, pay reduced or no management fee or carried interest on their
investments.

NDH and its affiliates generally pay all of their own operating and overhead costs and expenses,
including salaries of NDH’s employees, rent and other expenses incurred in maintaining the
Firm’s place of business and costs and expenses related to registration and filing of NDH as an
investment adviser under the Alternative Investment Fund Managers Directive 2011/61/EU
(AIFMD) and the Investment Advisers Act of 1940 (the “Advisers Act,”) and the filing of
regulatory reports and other filings with the SEC or similar agencies relating to such status.

In addition to any management fees payable to NDH, a Fund will incur certain charges imposed by
third parties and other expenses. Such expenses may include (but are not limited to): all
organizational costs and expenses incurred in connection with the formation and organization of, and
sale of interests in, a Fund and its Managing Member (up to a cap as set forth in
the Fund’s Governing Documents); all costs and expenses (including legal, accounting, auditing,
travel (which may include business or first class airfare, and, to the extent private air travel is used,
only the equivalent cost of business or first class airfare), entertainment, consulting and technology
and database costs) relating to consummated portfolio investments, unconsummated investments,
indebtedness (including establishing, utilizing, modifying and retiring any credit facility or other
borrowing and any interest thereon), guarantees and temporary investments, including the
evaluation, acquisition, holding and disposition thereof, to the extent that such fees and expenses are
not reimbursed by a portfolio company or other third person, and expenses related to organizing and

operating persons in connection with the operation and activities of a Fund or through or in
which portfolio investments may be made, including fees of officers and directors of such persons;
(c) premiums and deductibles for insurance protecting a Fund and any Covered Persons from
liabilities to third persons in connection with a Fund’s investment and other activities; (d) legal,
custodial, administration (including depositary services), advisory, auditing, accounting and other
administrative and regulatory and compliance fees and expenses, including expenses associated with
(i) the preparation of a Fund’s financial statements, tax returns and Schedule K-1s and the
representation of a Fund or the Investors by the partnership representative, (ii) costs of data
processing, market research and information technology (including subscription fees and expenses)
and (iii) U.S. Treasury forms and FATCA compliance, in each case as relates specifically to a Fund
and its Portfolio Companies, but excluding, for the avoidance of doubt, the costs of
the adviser’s general compliance with the Adviser’s Act, such as preparation and updating of Form
ADV; (e) banking, brokerage and consulting expenses; (f) appraisal and valuation expenses; (g)
expenses related to organizing, operating or dissolving persons through or in
which portfolio investments may be made; (h) fees and expenses (including travel (which may
include business or first class airfare, and, to the extent private air travel is used, only the equivalent
cost of business or first class airfare), meals, accommodation and entertainment expenses) of venture
partners (i) expenses of the advisory committee; (j) costs and expenses that are classified as
extraordinary expenses under generally accepted accounting principles; (k) certain taxes and other
governmental charges, fees and duties payable by a Fund; (l) Damages; (m) costs of reporting to
the Investors and to governmental authorities with respect to the Investors, a Fund and/or a Fund’s
activities and investments; (n) costs of the Annual Meeting; (o) costs of winding up and liquidating
a Fund; (p) all annual registration fees and registered office fees and expenses; (q) costs associated
with the organization of any Alternative Investment Fund; (r) costs associated with any Feeder Fund;
and (s) any expenses related to compliance-related matters and regulatory filings related to a Fund’s
activities (including, without limitation, expenses relating to filings with the CFTC, reports,

Item 7 - Types of Clients

NDH currently provides investment advisory services to the Funds, which are privately
offered pooled investment vehicles and co-investment vehicles. The investment advisory services
provided to each Fund are based on the investment objectives and restrictions set out in the Fund’s
offering and governing documents. The Funds generally accept potential investors who are
“accredited investors” as defined in Regulation D under the Securities Act of 1933, as amended
(the “Securities Act”) and “qualified purchasers” as that term is defined in Section 2(a)(51) of the
Investment Company Act of 1940, as amended (the “Investment Company Act”).
Investors are required to invest a minimum amount, as set forth in the respective Governing
Documents, but the Firm may waive the minimum investment amount for any Investor.
