Item 5: Fees & Compensation
Compensation for Our Advisory Services
OFI provides sub-advisory services to an Exchange-Traded Fund (“ETF”) and will receive
compensation on a percentage of assets under management of the ETF. This ETF is OPTZ. OFI will
receive a fee of 25 basis points (or .25%) of assets invested in OPTZ. Please note, these fees will be
paid in addition to our management fees detailed in this section and OPTZ is the recommended
investment vehicle for OFI’s Advisory Clients. Only prospective Advisory Clients who are found
suitable for such an investment are permitted to be Advisory Clients of OFI.
Wealth Planning Framework Tiers of Service & Pricing
Advisory Clients whose Assets Under Management (“AUM”) are under $2MM qualify for Standard
service level at 1.75% per annum. Advisory Clients whose AUM are $2MM to $19.99MM qualify for
Premium service level at a fee of 1.75% per annum and their heirs will be given Standard service
level at 1.75% per annum. Advisory Clients whose assets exceed $20MM but are less than $49.99MM
will qualify for Premium service level and will be charged a fee of 1.75% per annum and their heirs
will be given Premium service level at 1.75% per annum Advisory Clients whose AUM exceed $50MM
qualify for our Premium service level and will be charged a fee of 1.5% per annum and their heirs
will receive Premium service level at 1.5% per annum.
Annualized fees are billed on a pro-rata basis monthly in arrears based on the value of the account(s)
on the time-weighted daily average of the month. Fees are not negotiable and will be deducted from
Client account(s).

OFI’s advisory fee is charged based on household AUM. Household AUM is comprised of the total
assets managed by or serviced by OFI, excluding accounts that are ineligible for billing, on an ongoing
and regular basis. Total assets are held in accounts custodied at Schwab; or in held-away accounts at
another custodian accessible to OFI via Pontera or Ascensus (i.e., 401(k)s, 403(b)s, 529 plans).
As part of this process, Advisory Clients understand the following:
a) The Advisory Client’s independent custodian sends statements at least quarterly showing the
market values for each security included in the Assets and all account disbursements,
including the amount of the advisory fees paid to our Firm;
b) Advisory Clients will provide authorization permitting our Firm to be directly paid by these
terms. Our Firm will send an invoice directly to the custodian; and
If our Firm sends a copy of our invoice to the Advisory Client, a legend urging the comparison of
information provided in our statement with those from the qualified custodian will be included.
Cash and Cash Equivalents Excluded from Billable Assets
For purposes of calculating our advisory fee, we generally exclude cash and cash equivalents
(including bank sweep balances and money market sweep positions) from “billable assets,” unless
we specifically agree otherwise in writing. Cash and cash equivalents may still be reflected in overall
account or household values reported by the custodian and in performance or consolidated
reporting, but we do not assess our advisory fee on those amounts. Client cash held at the custodian
is typically maintained through a bank sweep program or similar arrangement that may earn interest
at rates determined by the custodian and/or participating banks. Because cash is excluded from
billable assets, maintaining higher cash balances will reduce the advisory fee compared to an account
that is fully invested. Clients should review their statements and reports and notify us if they believe
cash has been included in billable assets contrary to this disclosure.
Optimize Strategy Index ETF (“OPTZ”) Fees
As part of our strategy, all Advisory Clients will also be charged the OPTZ ETF Expense Ratio of
twenty-five (25) basis points (or .25%) as determined by the amount of assets invested in OPTZ.

Advisory Clients can incur transaction fees for trades executed by their chosen custodian via
individual transaction charges. These transaction fees are separate from our Firm’s advisory fees and
will be disclosed by the chosen custodian which is in OFI’s case Charles Schwab & Co., Inc. (“Schwab”).
Termination & Refunds
Either party may terminate the advisory agreement signed with our Firm for our Wealth Planning
Framework Advisory services in writing at any time. Upon notice of termination pro-rata advisory
fees for services rendered to the point of termination will be charged. If advisory fees cannot be
deducted, our Firm will send an invoice for due fees directly to the Advisory Client. In some cases,

Item 7: Types of Clients & Account Requirements Our Firm has the following types of clients: • Individuals and High Net Worth Individuals; • Trusts, Estates or Charitable Organizations; • Registered Investment Company Our Firm generally requires a minimum account balance of $1MM to engage our Firm for our Premium services and would be required throughout the course of the Advisory Client’s relationship with our Firm. In rare instances, OFI may take Advisory Clients on at either service level on a provisional basis if assets are in the process of transferring to the Advisory Client and will be received due to a life event, such as selling property, retirement, receiving an inheritance, etc. OFI will evaluate each provisional Advisory Client at the six-month mark to verify the progress of the provisional Advisory Client towards reaching the target AUM requirement. The provisional service level is based on the AUM the Advisory Client expects to have with OFI by the specified date. For Standard services, our Firm requires a minimum of $1MM in assets under management. However, our Firm will consider Advisory Clients that do not meet this account minimum on a case- by-case basis. In addition, while our Firm does not have an account requirement for engaging our Firm for services (other than what is disclosed above) some of our Firm’s services are dependent upon the amount of assets under management held with our Firm.
