Item 5 – Fees and Compensation The fees and compensation payable to OT for services rendered to ETF(s) it manages are described in the fee table of the applicable prospectus. Investment consulting services vary based on the frequency, amount and complexity of the securities (including options strategies) recommendations provided. Portfolio Management Services OT, as the primary investment adviser or sub-adviser to ETF offering(s) for which the Firm has sponsored or co-sponsored, performs portfolio management services in exchange for compensation as set forth in the fee table of the prospectus. The fees for which OT receives include a percentage of the annual management fee which ranges based upon OT’s position as primary investment adviser or sub-adviser. The annual management fee, where applicable, is shared between the primary investment adviser and subadviser; therefore, where OT is the sub-adviser to the fund, it receives a lesser percentage than in situations where it may serve as primary investment adviser. The ETF offering(s) for which OT provides advisory services are overseen by a Board of Trustees (“Board”) and administered through the Board-designated service providers. As with registered investment companies (“RICs”), in general, a registration statement is filed with the SEC pursuant to the Securities Act of 1933 (“Securities Act”) and Investment Company Act of 1940 (“Company Act”). For ETFs which OT manages or sub-advises, the custodian deducts applicable management fees and pays our Firm or, alternatively, the primary investment adviser transmits the fees owed to us. Separately Managed Account Services Where OT furnishes Separately Managed Account (“SMA”) Services to institutional investors or retail investors, the management fee and/or performance fee (where applicable) will be deducted from the account by the custodian at our direction and under the terms of the attendant investment advisory agreement which, unless otherwise agreed upon, is calculated based on the average daily advisory account assets under management and billed in advance on a quarterly basis. The fee imposed is typically 1.5% of assets under management and shall be disclosed in the investment advisory agreement. See Item 6 within this Brochure for additional information about fees for the Firm’s SMA offerings. Investment Consulting Services OT’s investment consulting services may be impersonal or customizable. Fee arrangements vary depending on certain criteria determined by the Firm inclusive of the frequency, amount and complexities of the securities and/or options recommendations. Fees shall be paid in accordance with the written consulting agreement and generally range between $5,000 to $10,000. Fees are billed in arrears on a monthly basis and not subject to refunds. Research Services OT is compensated for research services furnished to institutional clients through a set monthly fee that is paid to our Firm under the terms of the applicable agreement. The fee is based on the nature, scope and complexities of the research provided but, in general, does not exceed $5,000 per month. OT Advisors LLC 2A Disclosure Brochure Page 6 Conditions for Managing Accounts The Firm does require an initial investment of $250,000 to open a SMA but does not impose a minimum advisory fee dollar amount per annum. For Fund Client offerings, the ETF prospectus may impose a minimum initial investment amount. OT does not participate in bundling of related accounts to determine aggregate assets for billing purposes nor accept pre-acquired investments (or “legacy assets”) from previous financial institution(s) within SMA portfolios it manages. Additional Fees and Expenses Fees attendant to the ETF (or “Fund”) offerings for which OT is primary investment adviser or sub-adviser (or “these investment offerings”) impose specific fees (including expenses) charged to the investments made by shareholders, unitholders, or investors of these investment offerings incur (regardless of whether these investments are held directly or as part of a SMA portfolio). SMA portfolios are also subject, where applicable, to product level fees for mutual funds or ETFs (e.g., 12b-1) where an alternative share class is not offered for the selected investment option or where, for example, the ETF does not maintain other shares classes (although in contrast to mutual funds, the ETF’s 12b-1 fee is de minimis to the overall management fee). The complete listing of these fees and expenses are described in the prospectus or offering memorandum applicable to the specific to these investment offerings which are available typically through an investor’s financial professional or directly from the distributor or Fund website(s). For investment consulting services, OT does not assess any additional fees or expenses; however, the client or the client’s investors may be subject to transaction fees, custodial fees, among other charges. Custodian, Trust Management, Trading, and Other Costs All fees paid on behalf of the Fund are, as noted, described in the prospectus. Such fees are separate and distinct from transaction fees charged by broker dealers associated with the purchase and sale of equity securities and options. In addition, fees do not include the services of any cofiduciaries, accountants, broker dealers or attorneys. Please see Item 12 Brokerage Practices of this disclosure brochure for additional information. Terminations and Refunds The Fund may terminate but shall do in accordance with the directives outlined in the prospectus. OT Investors or the Firm may independently terminate the advisory services to SMA offerings subject to the terms of the underlying investment advisory agreement which, in general, requires thirty (30) days’ written notice. Fees collected for rendering advisory services to SMA offerings are not subject to refunds. ... |

Item 7 – Types of Clients OT offers investment management services through an advisory or subadvisory arrangement to its Fund Clients (e.g., ETF offerings) and Non-Fund Clients (e.g., SMA investors) including Individuals, High Net Worth Individuals, Other Investment Advisers, Insurance Companies, Corporations, and Other Businesses. OT also provides impersonal securities recommendations or customized investment consulting through an Investment Consulting Agreement. In doing so, OT generally provides advisory services to the following clients: Fund Clients, Broker-Dealers, and other financial institutions. OT, for SMA Clients, requires an initial investment amount of $250,000 but does not otherwise require a minimum maintenance amount nor impose a flat dollar amount in advisory fees per annum. The initial investment amount for Fund Client(s) for which OT provides advisory/sub-advisory services is identified in the applicable prospectus. Clients for which OT provides investment consulting and/or research services are subject to the terms and conditions of the agreement and, as such, there is no pre-set minimums established by our Firm.
