Item 5: Fees and Compensation
Please note, unless a client has received the firm’s disclosure brochure at least 48 hours prior to signing the
investment advisory contract, the investment advisory contract may be terminated by the client within five (5)
business days of signing the contract without incurring any advisory fees. How we are paid depends on the type
of advisory service we are performing. Please review the fee and compensation information below.
Combined Comprehensive Financial Planning and Investment Management Service
The advisory fee for the Combined Comprehensive Financial Planning including Investment Management Service
consists of a fixed fee paid quarterly, in arrears, at a rate typically between $3,000 and $15,000 annually as well
as an investment management fee of 0.50% applicable to assets included in the Investment Management
Service. The fixed fee is calculated based on the Client’s complexity and will increase by 3% annually each July
1st, once the agreement has been in effect for 12 months. Since we combine comprehensive financial planning
and investment management into one holistic service, the total fees are not based on the percentage of assets
under management. The amount of the fee attributed to the investment management portion of these services
will never exceed 2% of those total assets under management.
No increase in the annual fee shall be effective without agreement from the Client by signing a new agreement
or amendment to their current advisory agreement.
Our annual fees are negotiable and are pro-rated and paid in arrears on a quarterly basis. Advisory fees will be
directly debited from Client accounts, or via electronic funds transfer if deemed appropriate by Passport Wealth
Management. Accounts initiated or terminated during a payment period will be charged a pro-rated fee based
on the amount of time remaining in the billing period. An account may be terminated with written notice at
least 15 calendar days in advance. Since fees are paid in arrears, no refund will be needed upon termination of
the account.
PWM will not bill an amount above $500.00 more than 6 months in advance.
Complexity Factors that influence and determine the fee for the Combined Comprehensive Financial Planning
and Investment Management Service include:

4. Complexity of Estates & Trusts
5. Household Income
6. Non Managed Marketable Securities
7. Citizenship Status
8. Stock Compensation
9. Non Collateralized Debt
10. Anticipated time your financial advisor expects to spend providing service annually
Household income is defined as gross income as reflected on the prior calendar year Form 1040. Net worth is
defined as all financial assets and home equity minus all liabilities, and excludes vacation/investment properties,
closely held businesses, cars, and other personal assets and intellectual property.
Personal Tax Return Preparation
The fees for Personal Tax Return Preparation will be determined based on the complexity of the return and
quality of recordkeeping. The fees may be negotiable in certain cases, will be agreed upon at the start of the
engagement, and are due at the completion of the engagement. Clients are not required to utilize any third-
party products or services that we may recommend as they may be able to receive similar services from other
professionals at a similar or lower cost.
Retirement Plan Consulting
Retirement Plan Consulting will be offered for an annual fee of .50% of assets and is paid quarterly in arrears.
The fee is negotiable. An account may be terminated with written notice. Accounts initiated or terminated
during the calendar quarter will be charged a pro-rated fee based on the amount of time remaining in the billing
period. Since fees are billed in arrears, no refund will be needed upon termination of the account.
Other Types of Fees and Expenses
Our fees are exclusive of brokerage commissions, transaction fees, and other related costs and expenses which
may be incurred by the client. Clients may incur certain charges imposed by custodians, brokers, and other third
parties such as custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer and
electronic fund fees, and other fees and taxes on brokerage accounts and securities transactions. Mutual fund
and exchange traded funds also charge internal management fees, which are disclosed in a fund’s prospectus.
Such charges, fees and commissions are exclusive of and in addition to our fee, and we shall not receive any
portion of these commissions, fees, and costs.
Item 12 further describes the factors that we consider in selecting or recommending broker-dealers for client’s
transactions and determining the reasonableness of their compensation (e.g., commissions).
We do not accept compensation for the sale of securities or other investment products including asset-based
sales charges or service fees from the sale of mutual funds. |

Item 7: Types of Clients We provide financial planning and portfolio management services to individuals, high net-worth individuals, charitable organizations, and corporations or other businesses. We do not have a minimum account size requirement, however, for investment management services without participating in core or comprehensive financial planning we have a minimum annual advisory fee of $1,800. |
