Fees and Compensation

Fees for Retirement Management and Direct Investment Management Services

We offer our services on a fee-only basis. Our fee is charged quarterly in advance. It is
calculated during the month following the end of each calendar quarter, and is based
upon your annual fee, the management period, and the market value of the assets in your
account on the last day of the previous quarter. Broker-dealers and other financial
institutions that hold client accounts are referred to as custodians. Your custodian
determines the values of the assets in your portfolio.

As a condition for starting and maintaining an advisory relationship, we generally require
a minimum portfolio size of $250,000. We may consider the portfolios of your family
members to determine if your portfolio meets the minimum size requirement. We may
also consider aggregating your portfolio with those of your family members in
determining the fee level.

Fees for the initial quarter are based on the value of your cash and securities on the date
the custodian/broker-dealer receives them and are prorated based upon the number of
calendar days in the calendar quarter that our agreement is in effect. A pro-rata advisory
fee is charged based on additional contributions over $250,000 or 10% of the value of the
account on the date of deposit, whichever is greater. A pro-rata portion of any prepaid
advisory fee is rebated to the account for withdrawals over $250,000 or 10% of the value of
the account on the date of withdrawal, whichever is greater.

We have the right to change any or all of our fee schedules with 30 days written notice. All
fees are negotiable at our sole discretion. Advisory fees may vary depending upon a
number of factors including, but not limited to, the size and complexity of the client
relationship, the scope of services provided, anticipated future additional assets, related
accounts, and other factors deemed relevant by the Firm.

The Firm may charge different fees to different clients for similar services. Differences in
fees may occur for a variety of reasons, including legacy fee arrangements, negotiated fee
schedules, and relationships established prior to an investment adviser representative
joining the Firm.

Clients should understand that advisory fees may be higher or lower than those charged
to other clients depending on the specific circumstances of the relationship.

Our standard fee schedules are described below:

Fees for Retirement Management Services

ERISA 3(38) Fee Schedule:

         $7,500,001 and over              $22,300 + 0.11% on assets over $7,500,000

Simplified ERISA 3(21) Fee Schedule:

For investment management accounts, you must authorize us to have the custodian pay
us directly by charging your account. This authorization must be provided in writing.
Approximately one-fourth (based upon the actual number of calendar days in the quarter)
of the annual fee is charged each calendar quarter.

Your custodian provides you with statements that show the amount paid directly to us.
You should review and verify the calculation of our fees. Your custodian does not verify
the accuracy of fee calculations.

We may consider moving to a flat fee schedule as shown below if the value of your
portfolio equals or exceeds $5,000,000. One-fourth of the annual fee is charged quarterly.

In addition to our fee, you may be required to pay other charges such as:

    custodial fees
    brokerage commissions
    transaction fees
    SEC fees
    internal fees and expenses charged by mutual funds or exchange traded funds
     (“ETFs”)
    other fees and taxes on brokerage accounts and securities transactions

We provide advisory services primarily to individuals and high net worth individuals,
including their trusts, estates and retirement accounts. We also provide services to
corporations or business entities including their pension and profit-sharing plans. As a
condition for starting and maintaining an advisory relationship, we generally require a
minimum portfolio size of $250,000.

We, at our sole discretion, may accept clients with smaller portfolios based upon certain
factors including:

      anticipated future earning capacity
      anticipated future additional assets
      account composition
      related accounts
      pre-existing client relationships

We may consider the portfolios of your family members to determine if your portfolio
meets the minimum size requirement. We may also consider aggregating your portfolio
with those of your family members in determining the fee level.

Methods of Analysis, Investment Strategies and Risk of Loss

We select specific investments for your portfolios through the use of fundamental
analysis. Fundamental analysis is a method of evaluating a company that has issued a
security by attempting to measure the value of its underlying assets. It entails studying
overall economic and industry conditions as well as the financial condition and the quality
of the company’s management. Earnings, expenses, assets, and liabilities are all
important in determining the value of a company. The value is then compared to the
current price of the issuing company’s security to determine whether to purchase, sell or
hold the security.

Our investment strategies may include long-term and short-term purchases. You may
place reasonable restrictions on the strategies to be employed in your portfolio and the
types of investments to be held in your portfolio.

All investments involve risks that can result in:

    loss of principal
    a reduction in earnings (including interest, dividends and other distributions)
    the loss of future earnings

Additionally, these risks may include:

      market risk
      interest rate risk
      issuer risk
      general economic risk

Although we manage your portfolio in a manner consistent with your risk tolerances, we
cannot guarantee that our efforts will be successful. You should be prepared to bear the
risk of loss.

Selection and Monitoring of Unaffiliated Investment Advisers

When Persium allocates client assets to an unaffiliated investment adviser, Persium
conducts due diligence that may include a review of the adviser’s investment
methodology, portfolio construction process, risk controls, historical performance,
regulatory filings, and operational infrastructure. Persium monitors Third Party Advisers
on an ongoing basis and may terminate or replace an adviser if its performance, process,
or organizational stability is no longer consistent with Persium’s standards.

Clients should be aware that the use of Third Party Advisers may result in additional fees,
including advisory fees, platform fees, or trading related costs charged by the Third Party
Adviser or its service providers. These fees are separate from Persium’s advisory fee and
will reduce the overall return to the client.

Persium does not receive compensation or other economic benefits from Third Party
Advisers unless specifically disclosed. The use of Third Party Advisers presents potential
conflicts of interest, including the risk that Persium may recommend advisers with whom
it has more familiarity or operational convenience. Persium seeks to mitigate these
conflicts through its due diligence process and ongoing monitoring.

Cybersecurity

Persium Advisors maintains administrative, technical, and physical safeguards designed to
protect client information and account data. Despite these efforts, cybersecurity risks—
including unauthorized access, data breaches, ransomware, and service interruptions—
may impact Persium, its service providers, or account custodians. Such events could result
in the loss or corruption of data, delays in account access, or unauthorized transactions.
While we work to mitigate these risks, we cannot guarantee that cybersecurity incidents
will not occur.
