Item 5 – Fees and Compensation

Investment Management Services

Fees charged for discretionary investment management services are generally billed at an annual
flat rate of up to 2% (i.e. up to 0.16% monthly) of assets under management, although fees may
be negotiable in some instances. Fee rates vary based on the level of service provided, the
investment adviser representative managing the account, etc.

Annual fees are prorated and charged monthly in arrears based on the balance of assets under
management at the end of the service month as reported by the custodian and based on the
number of days in a particular month. Fees for partial months are prorated based on the number
of days assets are under management. Fees are generally deducted directly from client accounts,
but clients may elect to alternatively pay fees by check. When deducting fees, PCAG will a)
acquire written authorization to deduct fees from the custodian, b) provide notice to the
custodian of the timing and amount of fee to be deducted, and c) send the client a written invoice
itemizing the fee, the formula used to calculate the fee, the time period covered by the fee, and
that amount of assets on which the fee was based.

Services may be terminated at any time by either party with 5 days written notice to the other
party, and fees will be prorated accordingly.

All management fees paid to the firm are separate and unrelated to any fees or expenses assessed
by mutual funds or exchange traded funds, or to any trade commission charged by an account
custodian, although trade commissions may at times be paid by the firm at the firm’s discretion.
Information pertaining to fund-generated fees and expenses can be found in mutual fund and
exchange traded fund prospectuses. The firm does not accept compensation for the sale of
securities. Information related to brokerage and trading arrangements can be found in Item 12
below.

Financial Planning Services

Fees charged for project oriented financial planning services are quoted in advance and generally
charged at a fixed amount of up to $1,000 (but may be higher for more complicated
engagements) or are quoted on an hourly basis at an hourly rate of up to $200 per hour for
engagements that require service flexibility. Quoted fixed fees will be based on the complexity
and level of service provided on a case-by-case basis. Hourly fees will be estimated based on the
complexity and level of service provided on a case-by-case basis and will vary depending on the
experience level of the applicable investment advisory representative. As mentioned in Item 4
above, services may include planning in areas such as education funding, retirement planning,
estate planning, risk management, employee benefits planning, tax planning, etc. Since each of
these areas can vary in complexity depending on the complexity of the client’s financial
situation, cost will vary as well. Fees are negotiable depending on the circumstances of the
engagement, location, etc.

Fees for project oriented financial planning are generally billed directly to the client in arrears,
although a portion of which may be billed in advance. Financial planning fees can be paid by
check or credit card.

Services may be terminated at any time by either party with 5 days written notice to the other
party, and fees will be prorated based on the degree to which services have been completed. Any
payments made in advance will be prorated and any unearned fees will be refunded to the client.
Earned fees will be based on the percentage of work completed at the time of termination.

All financial planning fees paid to the firm are separate and unrelated to any fees or expenses
assessed by any broker, custodian, or other outside party. See Item 10 below for information
related to insurance sales by associated persons.

Retirement Plan Services

Fees charged for retirement plan services may be charged in arrears. Fees may be fixed
(generally not to exceed $10,000) or asset based (not to exceed 1.50% annually) and are
negotiable depending on the complexity of the service. Fee levels (whether fixed or asset
based) are primarily based on actual services to be provided, which depending on the
engagement may or may not include investment policy statement assistance, investment
recommendations, investment monitoring, performance reporting, educational services,
participant enrollment, etc.

Fees may be deducted directly from client accounts on a quarterly basis at 1/4 of the annual rate,
or clients may elect to alternatively pay fees by check or wire transfer. There is a minimum
annual fee of $1,000 per plan for setup of the engagement and general administrative services.

Services may be terminated at any time by either party with 5 days written notice to the other
party, and fees will be prorated accordingly.

All retirement plan fees paid to the firm are separate and unrelated to any fees or expenses
assessed by any broker, custodian, or other outside party.

PCAG offers services to individuals, businesses, and retirement plans.

For its investment management services, PCAG has a minimum account size of $100,000 in
assets for establishing or maintaining a client’s account, but the firm reserves the right to waive
account minimums at its discretion.
