Item 5 – Fees and Compensation

Investment Advisory Fees

Pursuit Wealth Strategies offers fee-only advisory services and charges an annual fee of up to 1.5%
based on assets under management. All fees are subject to negotiation and Pursuit reserves the
right to offer alternative fee schedules. The specific manner in which fees are charged by Pursuit is
established in a client’s written agreement with the firm. Clients are billed quarterly in advance
based on the closing market value of the portfolio at the end of the preceding quarter. Pursuit
directly debits fees from client accounts. Accounts initiated or terminated during a calendar quarter
will be charged a prorated fee based upon the number of days remaining in the quarter. Upon
termination of any account, any prepaid, unearned fees will be promptly refunded. Pursuit’s fee
schedule is as follows:

Assets Under Management Maximum Annual Fee

$0 - $500,000 1.5%

Pursuit’s fees are inclusive of brokerage commissions, transaction fees, and other related costs and
expenses which shall be incurred by the client. Typically, clients may incur certain charges imposed
by custodians, brokers, third party investment and other third parties such as fees charged by
managers, custodial fees, deferred sales charges, odd-lot differentials, transfer taxes, wire transfer
and electronic fund fees, and other fees and taxes on brokerage accounts and securities
transactions. Mutual funds and exchange traded funds also charge internal management fees, which
are disclosed in a fund’s prospectus.
Due to the nature of participation in Raymond James’ Wrap Fee program, clients with accounts
custodied at Raymond James are not subject to these additional charges and are covered by the
management fee collected by Pursuit. Such charges, fees and commissions are exclusive of and in
addition to Pursuit’s fee, and the firm shall not receive any portion of these commissions, fees, and
costs.

Item 12 further describes the factors that Pursuit considers in selecting or recommending broker-
dealers for client transactions and determining the reasonableness of their compensation (e.g.,
commissions).

None of the firm’s access persons accept compensation for the sale of securities or other investment
products including asset-based sales charges or service fees from the sale of mutual funds.
