Item 5. Fees and Compensation

QIP offers its services on a fee basis, with fees based upon assets under management

Sub-Advisory Fees

As noted above, QIP is the non-discretionary Sub-Adviser to QFF. The adviser to QFF pays QIP
sub-advisory fees which are calculated daily and paid monthly in arrears, at an annual rate
negotiated with the adviser based on the ETF’s average daily net assets. As sub-adviser, QIP will
not receive any portion of commissions, transaction fees, or other brokerage costs generated by
QFF. More information about ETF fees can be found in the prospectus.

Hedge Fund Fees

QIP provides discretionary investment management services to Qualivian Focus Fund LP for a
specified management fee based upon a percentage of the market value of the assets being
managed by the firm, as determined based upon the aggregate capital account balances of the
limited partners of the fund at the beginning of each calendar quarter. The specified management
fee is tiered currently 0.1875% (0.75% annualized) for the first $20 million invested, 0.1625%
(0.65% annualized) for the next $20 million invested, and 0.125% (0.50% annualized) for anything
above $40 million invested in Founder Series Limited Partners (offered to early investors in the
fund), charged quarterly in advance. The firm’s management fee is exclusive of, and in addition
to brokerage commissions, transaction fees, and other related costs and expenses which are
incurred by the client. QIP does not, however, receive any portion of these commissions, fees, and
costs. QIP’s management fee is charged quarterly, in advance. The management fee is amortized
in three monthly installments each quarter for performance reporting purposes. These fees are not
negotiable, but QIP may waive, reduce or rebate the management fee payable with respect to the
capital accounts of certain limited partners, including, without limitation, affiliates, managers,
members, employees or officers of the general partner and/or QIP; provided that, no such waiver,
reduction or rebate shall adversely affect any of the other limited partners or cause any of them to
bear a greater portion of the management fee than they would bear absent such waiver, reduction
or rebate..

QIP does not deduct fees directly from the hedge fund. Instead, the general partner remits payment
on the hedge fund’s behalf.

Model Distribution Fees

In cases where QIP distributes its portfolio models to other advisers, fees are negotiated between
the parties. Such fees may be payable quarterly (in advance or in arrears) or in accordance with a
different timeline and may be based upon the assets managed in accordance with such models by
QIP’s client-adviser or on a fixed-fee basis, depending on the client.

QIP does not deduct fees directly from the client accounts of its model distribution clients. Instead,

clients remit payment to QIP along with a report detailing the client’s calculation of such fees.

Fees Charged by Financial Institutions

Aside from fees paid to QIP, as further discussed in response to Item 12 below, clients may incur
charges imposed by broker-dealers, trust companies, banks, etc. (collectively referred to herein as
the “Financial Institution”) and other third parties such as custodial fees, brokerage commissions,
transaction fees, odd-lot differentials, transfer taxes, wire transfer and electronic fund fees, and
other fees and taxes on custodial accounts and securities transactions.

Fees for Management During Partial Quarters of Service

Hedge Fund Fees
Hedge fund management fees are calculated on a pro rata basis with respect to each limited partner
admitted to the fund on a date other than the first business day of a calendar quarter. No portion of
the management fee is refundable if a limited partner is permitted to withdraw on a date other than
the end of a calendar quarter.

Model Distribution Fees
Fees for model distribution clients are negotiated between the parties with respect to partial
quarters of service but are generally calculated on a pro rata basis. The refundability of any fees
paid in advance will necessarily depend on the negotiated fee arrangement between the parties.

Outside Compensation For the Sale of Securities

Neither QIP nor its employees accept any compensation for the sale of investment products,
including asset-based sales charges or service fees from the sale of mutual funds. As Sub-Adviser
to QFF, QIP is deemed to be a co-sponsor of QFF. In this capacity, QIP has entered into a separate
agreement with QFF’s platform adviser to bear the costs and fees of launching QFF on QIP’s
behalf. In return for bearing the fees and expenses of QFF, QIP, as an ETF co-sponsor, is entitled
to a share of the profits of QFF, if any, after all expenses of QFF are paid.

Item 7. Types of Clients

QIP generally provides its services to the hedge fund, ETF, and other investment advisers.

QIP’s hedge fund generally requires a minimum initial investment of $500,000 from its limited
partners. The hedge fund’s general partner may waive or alter such minimum in its sole and
absolute discretion.

ETF minimum investment amounts are specified in QFF’s prospectus.

QIP imposes no asset or fee minimums for its model portfolio services, although the underlying
registered advisers may impost asset or fee minimums for their clients to participate in such
arrangements.
