Item 5: Fees and Compensation

Item 5.A
Feynman Point or an affiliate is compensated for its advisory services through a management fee,
which is calculated for each fiscal quarter equal to a quarter of the result of the management fee
rate multiplied by the balance of each capital account of a Limited Partner as of the beginning of
such fiscal quarter as outlined in the Governing Documents.

All such fees and compensation are subject to reduction or waiver at the Adviser’s discretion and,
in the case of management fees, are pro-rated in the event of contributions or withdrawals by
investors other than a calendar quarter-end.

Feynman Point or an affiliate, in its role as General Partner of a Fund, is entitled to receive an
allocation of the net income allocated to each Limited Partner’s account (the performance-based
“Incentive Allocation”) in connection with the management of the Funds, which is discussed in
greater detail in Item 6 of this Brochure.

It should be noted that any Fund launched by Feynman Point after the date of this Brochure may
have materially different terms than those summarized above and any terms for any existing Funds
may be amended from time to time. The fees for each Fund are described in more detail in each
Fund’s Governing Documents.

Item 5.B
Feynman Point or an affiliate deducts its fees and compensation from the Funds’ accounts by
instructing the Funds’ administrator to facilitate such deductions. Fees and compensation from the
Funds are collected at the frequency discussed above for the Management Fee and Incentive
Allocation in response to Item 5.A.

Item 5.C
Except as disclosed in the Funds’ Governing Documents, Feynman Point or the General Partner
bears its own separate expenses arising out of its services to the Funds, including all of its general
overhead expenses including the rent of its offices, compensation and benefits of its staff,
maintenance of its books and records, and its fixed expenses, telephones, and general-purpose
office equipment, but are not responsible for any expenses of the Funds.

Organizational Expenses

Each Fund will bear its own organizational expenses, which, in certain of the Funds, are subject to
specific thresholds.

Expenses of the Funds

The Funds will bear all expenses that are incidental to the operation and business of the Funds, on
a pro-rata basis, which generally include, but are not limited to:

       (i)     Expenses related to research, due diligence and monitoring of actual and
               prospective investments (whether or not consummated) and the consummation of
               investments in the Funds; third-party investment sourcing fees; fees charged by the
               Adviser or its affiliates to provide investment sourcing to, or on behalf of, the
               Funds, or any Fund, provided, however, that such sourcing fees do not exceed the
               rate typically charged by third parties engaged in such sourcing; “gas” and similar
               fees incurred to consummate Digital Asset transactions; costs related to Digital
               Asset exchanges; fees and expenses related to obtaining research and market data
               (including data fees and any information technology hardware, software or other
               technology incorporated into the cost of obtaining such research and market data);
               due diligence expenses including anti-money laundering and digital wallet due
               diligence costs, sanctions screening fees, consulting and appraisal fees; costs
               related to the security and custody of Digital Assets (including third-party wallet
               providers); commercial travel expenses; brokerage, and prime brokerage and
               futures commission merchant fees, commissions and expenses; expenses relating
               to short sales; broken deal expenses, clearing and settlement charges; bank service
               fees; interest expenses and fees related to financings or refinancings; fees and
               expenses of third-party professionals, including consultants, attorneys and
               accountants;
       (ii)    Organizational and reorganizational expenses;
       (iii)   Operational expenses, including the following: fees and expenses, including third-
               party costs, relating to information technology hardware, software or other
               technology (including costs of software licensing, implementing data management
               and recovery services and custom development) used in connection with the
               Adviser’s operations and research investments, evaluate and manage risk, facilitate
               valuations, facilitate accounting functions, facilitate compliance with industry best
               practices, the rules of any self-regulatory organization or applicable law (including
               reporting obligations), facilitate and manage the purchase and sale of investments
               or otherwise manage the Funds, portfolio management systems, risk management
               systems and order management systems; fees and expenses of third-party risk
               management products, models and services (including, without limitation, risk
               management software or database packages); third-party administrative fees and
               expenses; fees charged by the Adviser or its affiliates to provide administration
               services, including out-of-pocket expenses (including lodging and meal expenses);
               insurance premiums relating to the loss or theft of Digital Assets; loan
               administration costs; fees and expenses of third-party professionals, including
               consultants, valuation service providers, attorneys and accountants; the costs of any
               litigation or investigation involving activities of the Funds; third-party audit and tax

Item 7: Types of Clients
As noted in Item 4, Feynman Point’s Funds are privately offered pooled investment vehicles,
which are intended for investment by certain Limited Partners that are accredited investors under
Rule 501 of Regulation D of the Securities Act and are Qualified Purchasers under Section 2(a)(51)
of the Company Act in reliance on the exemption under Section 3(c)(7) of the Company Act.
Feynman Point’s Funds generally have a minimum investment amount of $1,000,000, subject to
the discretion of the General Partner to accept lower amounts. The General Partner or an affiliate
may change the minimum investment amount with respect to any Limited Partners at its discretion.
