Item 5 - Fees and Compensation
A. How RWG is Compensated
Retirement Plan Services
RWG is compensated pursuant to an agreed upon fee schedule included in each retirement plan advisory
agreement signed by the plan sponsor. The type and amount of the fees charged to the client are negotiable
and are generally based on the following factors:
scope of services to be provided, including whether the services are considered to be consulting or
fiduciary in nature
size and complexity of the plan
number of plan participants
location of the plan participants
estimated number of meetings required
other factors that may be deemed relevant by RWG when negotiating with the client
An estimate of the total cost will be determined at the start of the advisory relationship. Fees are negotiated
with the plan sponsor in advance of signing the advisory agreement. Generally, RWG is compensated in one
of the following ways:
Assets Under Management
Under this method, the fees paid to RWG will be determined by reference to the value of plan assets
held in custody by the plan’s custodian. Generally, RWG charges an annualized fee of up to 1.00% of
the plan assets for the retirement plan services described above with a minimum annual fee of $6,000
for 3(21) fiduciary services and $10,000 for 3(38) investment management services. Asset based fees
are generally collected in one of the following ways:
□ Quarterly in Advance
□ Quarterly in Arrears
□ Determined according to policies of plan’s recordkeeper
When fees are determined on a quarterly basis (whether in advance or arrears), the fees will be based
on the value of the Account as of the close of business on the last day of the most recent calendar
quarter. Unless we agree otherwise, no adjustments or refunds will be made in respect of any period
for (i) appreciation or depreciation in the value of the Plan account during that period or (ii) any partial
withdrawal of assets from the account during that period.
Flat Fees
Under this method, the fees paid to RWG will be determined by reference to the value of plan assets
held in custody by the plan’s
RWG charges a fixed fee for specific retirement plan services. The total retirement plan fee will be
determined based upon the nature and complexity of the planning services provided to you. Fees
charged for retirement plan services on a fixed basis generally range from as little as $1,000 to as
much as $25,000.
RWG may collect a portion of the fee upfront with the remaining portion due upon the delivery of
the retirement plan to you. However, retirement payments will not exceed $1,200 in advance for
development of a retirement plan that will not be completed within six months. You can authorize
fee payment from either an RWG advisory account or from your checking or savings account to pay
for retirement plan services. The RWG advisory account used for debiting generally must be a non-
qualified account on a platform approved for fee-debiting. You also have the option to choose to
renew your contract on an annual basis, which is represented in the advisory agreement.
Retirement plan fees described above do not include the fees you will incur for other professionals
(e.g., personal attorney, independent Investment Adviser, or accountant) in connection with the
retirement plan process.
You should understand that the retirement plan fees charged to you may be higher or lower than
the fees charged by other investment advisers for similar services. You should consider the level
and complexity of your personal circumstances, financial situation and the services that will be
provided, the scope of the engagement, your gross income, the experience and standard fees
charged by the firm providing the services, and the nature and total dollar asset value of the assets
upon which services will be provided.
Wealth Management Services
The fee is based on a percentage of assets under management and is negotiable. The annualized fees for
investment management services are based on the following fee schedule:
Assets Under Management
Assets Under Management ($) Annual Rate (%)
0 to 500,000 0.75%
500,001 to 1,000,000 0.60%
1,000,001 to 5,000,000 0.55%
More than 5,000,000 0.50%
Advisory fees are deducted by the custodian from client accounts in advance or arrears on a quarterly
or monthly basis based on the previous billing cycle end value or the average daily balance as selected.
The investment advisory fees in the first quarter of the agreement shall be prorated from the inception
date to the end of the first billing cycle.
The client will also receive quarterly statements from the custodian that provides details of the advisory
fees. Wire transfer fees, small account fees and other fees charged by the custodian incurred at the
direction of the client are not included in the fee charged by Advisor and shall be paid by the client.
Operating fees of mutual funds, such as 12b-1 fees, and other investment product fees are deducted
from the asset value of those investments as defined in the prospectus of the sponsor for each
