Item 5 Fees and Compensation Investment Advisory Services/Wrap Fee Program Semus Wealth’s annual fee for investment advisory service under the wrap fee program is up to 2% of the assets under management that is agreed upon with each client and set forth in a written agreement executed by Semus Wealth and the client. The advisory fee includes both investment advisory service and costs for executing transactions in the client’s account. The advisory fee is prorated and charged monthly (or quarterly if an Independent Manager is used), in advance, based on the value of the assets under management (include cash and cash equivalents) on the last day of the previous month or quarter. Factors to determine the annual fee may be based on, shall include, but not limited to, the size and nature of the relationship, the services rendered, the nature and complexity of the investments involved, time commitments, travel requirements, and utilization of Independent Managers. The investment advisory agreement between Semus Wealth and the client may be terminated upon 30 days’ written notice by either Semus Wealth or the client. Semus Wealth does not impose termination fees when the client terminates the investment advisory relationship, except when agreed upon in advance. The client will incur a pro rata charge for services rendered prior to the termination of the investment advisory agreement, which means the client will incur advisory fees only in proportion to the number of days in the month for which services were provided by Semus Wealth. If the client has pre-paid advisory fees that the Firm has not yet earned, the client will receive a prorated refund of those fees. Semus Wealth generally deducts its advisory fee from a client’s investment account(s) held at his/her custodian. Upon engaging Semus Wealth to manage such account(s), a client grants Semus Wealth this limited authority Semus Wealth Partners, LLC Disclosure Brochure through a written instruction to the custodian of his/her account(s). The fee generally is billed in advance on a monthly basis. A client may utilize the same procedure for financial planning or consulting fees, if the client has investment accounts held at a custodian. A newly managed account is charged a fee from the start date to the end of the month. The fee is based on the value of the account on the day of the start date. Thereafter, the monthly fee is based on the market value of the account on the last business day of the previous month. Although clients generally are required to have their investment advisory fees deducted from their accounts, in some cases, Semus Wealth will directly bill a client for investment advisory fees if it determines that such billing arrangement is appropriate given the circumstances. The custodian of the client’s accounts provides each client with a statement at least quarterly indicating separate line items for all amounts disbursed from the client's account, including any fees paid to Semus Wealth. Financial Planning/Consulting Services Semus Wealth offers its clients financial planning/consulting service either on a fixed fee basis or hourly rate. Clients typically enter into a separate agreement with Semus Wealth for financial planning/consulting services. On limited cases, financial planning service can be included as part of the investment advisory service dependent on the level and scope of such services and the client’s individual circumstance. Financial planning fee is negotiable and is based on either an hourly rate of $350 to $750 per hour, depending on the experience, knowledge, and skill of those performing the services on behalf of Semus Wealth, or a fixed fee agreed upon in writing by Semus Wealth and the client. The scope and charges of all hourly ad-hoc work must be agreed upon in writing by Semus Wealth and the client before any billing begins. Fixed fees start from a minimum of $3,000 per year, depending upon the nature and complexity of each client’s circumstances along with the mutual agreement of engagement with the client in writing. This fee can be paid monthly, quarterly or annually in advance based on client’s preference. Semus Wealth will not require prepayment of a fee more than six months in advance and in excess of $1,200. The client may terminate the financial planning agreement upon 30 days written notice to the Firm. If the client has pre-paid financial planning fees that the Firm has not yet earned, the client will receive a prorated refund of those fees. If financial planning fees are payable in arrears, the client will be responsible for a prorated fee based on services performed prior to termination of the financial planning agreement. Additional Fees and Expenses In connection with Semus Wealth’s management of an account, a client will incur fees and/or expenses separate from Semus Wealth’s investment advisory fee. These additional fees may include transaction charges and the fees/expenses charged by any custodian, subadvisor, mutual fund, ETF, separate external investment manager (and the manager’s platform manager, if any), limited partnership, or other advisor, transfer taxes, odd lot differentials, exchange fees, interest charges, ADR processing fees, and any charges, taxes or other fees mandated by any federal, state or other applicable law, retirement plan account fees (where applicable), margin interest, mark-ups or mark-downs and other transaction-related costs, electronic fund and wire fees, and any other fees that reasonably may be borne by a brokerage account. The client is responsible for all such fees and expenses. Semus Wealth does not receive any compensation from these additional fees. Please see Item 12 of this brochure regarding brokerage practices. Item 7 Types of Clients Semus Wealth offers investment advisory services to individuals, high net worth individuals, families, family offices, trusts, estates, businesses, charitable foundations, and retirement/profit sharing plans. Semus Wealth’s minimum relationship size is $5,000,000. However, this minimum requirement may be waived in certain circumstances at Semus Wealth’s sole discretion. |
