Item 5 – Fees and Compensation
Please refer to each Fund’s offering documents for further details on the fees SIMA may receive
pursuant to its role as Fund Manager.
As compensation for SIMA’s services to advisory clients, a fee is a negotiated and included in service
agreements with each client, as follows:
 •   For service agreements with funders where SIMA ultimately recommends a non-equity financing,
     loan, or grant to an SME or other entity, the relevant service agreement generally will provide that
     SIMA will be entitled to receive a one-time origination fee ranging from 1% to 5% of the size of the
     financing eventually made by the client.
 •   SIMA may also charge a running annual administration and monitoring fee negotiated with each
     funder and generally based upon the size of the financing .
 •   Other fees with funders may be based on a one-time, pre-agreed contract price with the funder.
 •   In service agreements with SMEs for services such as rendering virtual financial or risk
     management services, providing training to establish environmental or social or prevention of
     gender discrimination and promotion of gender equity, or procuring external consultantants or
     services, SIMA charges a negotiated fee.
 •   For fundraising support provided to SMEs or non-profits raising funds, SIMA earns a fee of up to
     9% based upon the total loan or grant amount raised for the entity.

Item 7 – Types of Clients
SIMA provides non-discretionary investment advisory services to proprietary private fund investment
vehicles (“Funds”). Please refer to each Fund’s offering documents for further details on the types of
investors permitted into the Funds.
SIMA may provide consulting services to high net worth individuals, family offices, banking or thrift
institutions, pension and profit-sharing plans, charitable organizations, trusts and estates, corporations
and other business entities, development finance institutions, as well as federal, state, or local
government agencies.
SIMA has a Conflict of Interest Policy to address situations where potential conflicts arise, such as when
consulting services are provided to some but not all portfolio companies, the funder of a consulting
project is also an investor in a Fund managed by SIMA, a third party is procured to render services to
entities both within and outside of a Fund, and other cases.
