Item 5 – Fees and Compensation

A.     Fee Schedule
Investment Management Fees
Soulence charges an asset-based advisory fee for portfolio management services. The firm’s
standard annual fee generally does not exceed 2.00% of assets under management. Actual
fees are negotiable and may be lower based on the scope of services, account size, household
relationships, complexity, legacy pricing, and other factors. The specific fee arrangement for
each client is set forth in the client’s written advisory agreement. Some clients are charged
under a tiered or breakpoint fee schedule, and certain larger relationships may pay
negotiated rates. When breakpoint pricing applies, the fee is calculated in accordance with
the schedule stated in the client’s advisory agreement.

When assets are allocated to third-party manager, the third-party manager charges fees for
their management, as outlined above, the third-party management fee is in addition to the
base investment management fee and will be included into the total fee charged and collected
from you. When we utilize third-party managers in your account your overall management
fee will be higher than if no third-party manager was used.

Soulence charges advisory fees as described in this Item 5. When Darmen Wealth clients are
invested in Lilliano-managed or Lilliano-associated models or strategies, clients pay only the
advisory fee described in their written advisory agreement, unless otherwise disclosed in
writing. Lilliano does not receive a separate advisory fee directly from Darmen Wealth clients
for use of these models or strategies unless specifically disclosed in writing. The advisory fee
paid by Darmen Wealth clients is not reduced, offset, or rebated because a Lilliano-associated
model or strategy is used.

The advisory fee paid by Darmen Wealth clients is not reduced, offset, or rebated because
Lilliano-associated models or strategies are used. Because Mr. Pacini has interests in both
Darmen Wealth and Lilliano, he has a conflict of interest and a financial incentive to
recommend or retain Lilliano-managed or Lilliano-associated models or strategies for
Darmen Wealth clients. Mr. Pacini may benefit economically from advisory fee revenue paid
by Darmen Wealth clients and may also benefit from his ownership interest in Lilliano,
including from the continued use, growth, reputation, or enterprise value of Lilliano and from
compensation Lilliano may earn from services provided to advisory firms or clients other
than Soulence clients. Soulence addresses this conflict by reviewing the appropriateness of
Lilliano-associated models, strategies, research, or services used for client accounts and by
requiring that recommendations be made in the client's best interest.

The third party manager fee assessed will vary depending upon the model portfolio(s)
selected. Soulence may move assets between various model portfolios during the billing
period. This will result in fees fluctuating between billing periods. The percentage fee charged
for one month may be higher or lower the next month depending on which model portfolio(s)
your assets were invested during the quarter.

Assets Under Advisement (“AUA”) Fees

For clients receiving AUA services, Soulence charges an advisory fee based on the value of
Assets Under Advisement.

AUA fees are negotiable and will be disclosed in the client’s advisory agreement.

Trading and Platform Fees

Soulence utilizes a technology platform which includes third party back-office support
platforms which have additional fees associated with them. Any fee associated with use of
third party back-office support platforms is included in the management fee. For more
information regarding the use of third party back-office platforms please see Item 10 of this
brochure.

Financial Planning Fees

Soulence does not charge a separate financial planning fee. Financial planning services are
included as part of investment management services.

Retirement Planning Fees
For these Retirement Planning Services, Soulence charges a fixed fee. The retirement
planning fee does not exceed $1,200 per year and is based on the complexity of the client’s
financial situation and the scope of services to be provided. The specific fee will be agreed
upon in writing in the client’s advisory agreement prior to the commencement of services.

Alternative Investment Fees and Expenses
Clients investing in alternative investments should expect to bear additional fees and
expenses that are separate from and in addition to Soulence's advisory fee, unless expressly
stated otherwise in writing. Depending on the product, these may include organizational and
offering expenses, management fees, administrative expenses, incentive allocations or
performance compensation, custody or platform fees, acquisition or disposition fees,

Item 7 – Types of Clients

Soulence typically provides investment advice to individuals, including high net worth
individuals. Currently, Soulence, or the third party asset managers we recommend, does not
require account minimums to open an account or maintain an account opening. However,
there may be account minimums at brokerages that need to be maintained.

Certain alternative investments may impose investment minimums, lock-up periods, transfer
restrictions, or investor eligibility requirements (for example, accredited investor or qualified
purchaser standards) that are independent of and in addition to any minimums imposed by
Soulence or a custodian. Soulence may therefore limit recommendations of alternative
investments to clients for whom the Firm reasonably believes such investments are suitable
and who satisfy applicable eligibility requirements.
