| Fees and Compensation — Form ADV Part 2A (4/2/2026) [Brochure] |
|---|
Item 5: Fees and Compensation
Clients pay an annual advisory fee that is billed monthly. SWL determines its fee by taking their fair market
value of assets in a client’s account on the last day of the month and applying the fee as specified on the fee
schedule. Clients can choose whether fees will be deducted from their managed account or billed as incurred.
Clients authorizing fee deduction acknowledge that their custodian will send statements at least quarterly
showing the market values of securities held, any disbursements made, and deductions of the advisory fee. Fees
are generally negotiable. In negotiating fees we consider: specific client circumstances; complexity of client’s
advisory needs; number of client accounts; amounts of client accounts; possibility for further growth of client
accounts; and the general size and scope of the advisory relationship. Our fee schedule is as follow: a client’s
annual advisory fee will never exceed 1.5%. Again, our fees are generally negotiable.
Regardless of use of External Managers, a client’s annual advisory fee will never exceed 1.50%. In the
event that fees exceed the maximum annual advisory fee, SWL’s fee will be reduced by the amount in excess of
the total fee. Our only current anticipated External Manager, AEWM, typically charges 40 basis points for their
services (0.40%). AEWM will deduct the complete amount of your advisory fee, deduct their fee and send the
advisory fee to SWL. In the future with other External Managers we would anticipate a similar fee arrangement.
For our financial planning clients, we are compensated through a flat fee. This financial planning fee is
fixed and will vary according to the needs of each client. The fee will increase based on the type of plan undertaken
and the ultimate complexity of the financial plan. Financial plans range from cash or debt management and risk
assessments to comprehensive financial plans. Generally, depending on the scope of services required, the more
wide-ranging and comprehensive plans will entail higher fees. The financial planning fee will also depend on issues
to be addressed, the complexity of the financial planning needs, and the frequency of financial planning services
required. In relation to the foregoing, clients when meeting with SWL are encouraged to consider their financial
circumstances and anticipated financial planning needs when estimating their fee. For clarity, the more complex
a financial plan and the more frequent work to be completed by SWL the higher the fee will be. Financial planning
fees are negotiable and will be communicated to clients in a written agreement. Financial planning fees are billed
as incurred.

For our investment advisory clients, fees are deducted. All fees paid to SWL are separate and distinct from
other fees clients may incur. These include fees and expenses paid to mutual funds, exchange traded funds (ETFs),
and real estate investment trusts (REITs). Clients will also incur fees from custodians and platforms. In addition,
clients will pay brokerage and transaction costs—see Item 12 – Brokerage Practices for more discussion of our
brokerage practices. For External Managers, clients should review each External Manager’s Form ADV 2A
disclosure brochure and any contract they sign with the External Manager (in a dual contract relationship). The
client is responsible for all such fees and expenses.
Clients do not pay fees in advance so that no refunds will need to be paid out. Should a client terminate
the relationship SWL will be entitled to the portion of its fee through the effective date of termination.
Supervised persons of SWL receive commissions for the sale of insurance products to clients. Commissions
from insurance products are paid in addition to advisory fees. This presents a conflict of interest because these
supervised persons are incentivized to sell these commission products based on compensation instead of what is
in a client’s best interest. Supervised persons are required to notify clients of this conflict of interest when
presenting an insurance product as an investment option. Clients have the right to take these recommendations
and implement that advice through other product vendors or sales organizations that are not associated with our
firm. When determining the asset based advisory fees, the assets that are allocated into the insurance products
are not subject to the advisory fee. Please see Item 10 – Other Financial Industry Activities and Affiliations to read
more about our supervised persons’ ability to offer strictly commission-based services through their insurance
activities. |
