Item 5 FEES and COMPENSATION
Investment & Private Wealth Management Services
Fees for investmentand private wealthmanagementservicesare annualized andcharged quarterly in advance based ona
percentage ofthe market value of assets under managementat the previous quarter end
, according to the following schedule.
Clients can choose to have fees deducted directly from their account or remit
tothem
the firm.
The fee schedule belowreflectsthe maximum feescharged by Stonebridge.
Effective April 1, 2024
Household* AUM under $500,000 Annual Fee 1.90%
Household* AUM of over $500,000 Annual Fee 1.75%
Limited Negotiability of Advisory Fees: Although Stonebridge has an establishedfee schedule, we retain the discretion to
negotiate alternative fees on a client
-by-client basis.Individual client circumstances are considered in determining any
alternatefee. These includebut are not limited:to
the complexity of the client portfolio; assets to be placed under
management ; anticipated future additional assets
; related accounts ; portfolio styleand account composition ; or requested
reporting. Theapplicable annual fee schedule isdisclosed in theclient’sIMA.
*We group certain related client accounts for the purpose of determining the annualized fee.
Discounts, not generally available to our advisory clients, may be offered to family members
of associated persons of our firm.
General Information
Termination of the Relationship: A client agreement may be canceled, by either party, for any reason upon receipt a of
ninety (90) daywritten notice.When an account is terminated, we continue to work with the custodian
to ensure proper
transfer of assets and that any residuals are disbursed correctly.
When we are notified a client is leaving, regardless of the
length of time it takes for the account to transition, we will no longer bill going forward.
When accounts terminate due to the death of a client, we continue to work with the account thru beneficiaries and
disbursements. Thisprocess may take well into the next quarter to resolve.
Additional Fees and Expenses: In addition to our advisory fees, clients are also responsible for the fees and expenses
charged by custodians and imposed by broker -dealers, including, but not limited to, any transaction charges imposed by a
broker-dealer with whichStonebridgeeffects transactions for the client's account(s). Please refer to the "Brokerage Practices"
section (Item 12) of this Form ADV for additional information.
The Covered Bridge Fund Fees: If The Covered Bridge Fund is utilized as an investment security in Stonebridge
separately
managed portfolios, Stonebridge does not charge asset
an managementfee on the allocation to The Covered Bridge Fund.
