Item 5. Fees and Compensation
We are required to describe our brokerage, custody, fees and fund expenses so you will know
how much you are charged and by whom for our advisory services provided to you. Our fees
are generally not negotiable.
A. How we are compensated for our advisory services provided to you.
(i) Asset Management:

$500,000 to $2,000,000 1.00%
$2,000,000 to $5,000,000 0.75%
Over $5,000,000 0.50%
* Our firm’s fees are billed on a pro-rata annualized basis monthly (refer to advisory
agreement) in advance based on the value of your account on the last day of the
previous month.
(ii) Financial Planning and Consulting:
We charge on a flat fee basis for financial planning and consulting services. The total
estimated fee, as well as the ultimate fee that we charge you, is based on the scope and
complexity of our engagement with you. For ongoing financial planning or consulting
services the Client agrees to pay a one-time initial planning fee of $500, in addition to
a fee of $150 monthly for ongoing financial coaching. We will not require a fee of $500
or more to be paid six months or more in advance. Financial planning and consulting
fees are paid via check or by direct invoicing via an electronic payment processor.
(iii) Referrals to Third-Party Money Managers:
Third-party managers will deduct their fee from your account separately from our fee.
The combination could result with a fee higher than the posted fee but will not exceed
2.00%. This will be disclosed prior to executing this strategy.
The following separate written disclosures will be provided to you: (i) a copy of the
third-party money manager’s Form ADV Part 2 and all relevant Brochures, (ii) a copy
of the third-party money manager’s privacy policy and (iii) a Solicitation Disclosure
Statement detailing the exact fees that will be charged to you.
B. Deducting fees from clients’ assets vs. billing clients for fees incurred.
(i) Asset Management:
Our firm’s fees are billed on a pro-rata annualized basis monthly in advance based on
the value of your account on the last day of the previous month. Our firm bills on cash
unless indicated otherwise in writing. Fees will generally be automatically deducted
from your managed account*. As part of this process, you understand and acknowledge
the following:
a) Your independent custodian sends statements at least quarterly to you showing all
disbursements for your account, including the amount of the advisory fees paid to
us;
b) You provide authorization permitting us to be directly paid by these terms;
c) If we send a copy of our invoice to you, we send a copy of our invoice to the
independent custodian at the same time we send the invoice to you;
d) If we send a copy of our invoice to you, our invoice includes a legend as required
by our state statutes or rules.**
* In rare cases, we will agree to directly bill clients.
** The legend urges the client to compare information provided in their statements
with those from the qualified custodian in account opening notices and subsequent
statements sent to the client for whom the adviser opens custodial accounts with
the qualified custodian.
(ii) Divorce Financial Planning and Consulting:
We require a retainer of fifty-percent (50%) of the ultimate financial planning or
consulting fee with the remainder of the fee directly billed to you and due to us within
thirty (30) days of your financial plan being delivered or consultation rendered to you.
In all cases, we will not require a retainer exceeding $500 when services cannot be
rendered within 6 (six) months.
(iii) Divorce Planning

The fee to provide the agreed upon services will be negotiated and agreed upon by the
client and Strategic Portfolio Solutions prior to providing any services. The terms and
conditions will additionally be agreed upon by the client and Strategic Portfolio
Solutions prior to providing such services. The agreed upon services, fee, terms, and
conditions will be outlined in a written agreement and fully executed by Strategic
Portfolio Solutions and client prior to providing any services. In the course of providing
the agreed upon services,
(iv) Referrals to Third-Party Money Managers:
Third-party money managers establish and maintain their own separate billing
processes which we have no control over. In general, they will directly bill you and
describe how this works in their separate written disclosure documents.

Item 7. Types of Clients and Account Requirements
We have the following types of clients:
• Individuals and High Net Worth Individuals;
• Trusts, Estates or Charitable Organizations;
• Pension Trust
Our requirements for opening and maintaining accounts or otherwise engaging us:
• We require a minimum account balance of $50,000 for our asset management service.
Generally, this minimum account balance requirement is not negotiable and would be
required throughout the course of the client’s relationship with our firm.
• We generally charge a minimum fee of $500 for written financial plans. |
