Item 5 - Fees and Compensation
General Fee Information
Fees paid to Strathmore Capital are exclusive of all custodial and transaction costs paid to the client’s
custodian, brokers, or other third-party consultants. Please see Item 12 - Brokerage Practices for
additional information. Fees paid to Strathmore Capital are also separate and distinct from the fees
and expenses charged by mutual funds, ETFs (exchange traded funds), or other investment pools to
their shareholders (generally including a management fee and fund expenses, as described in each
fund’s prospectus or offering materials). The client should review all fees charged by funds, brokers,
Strathmore Capital, and others to fully understand the total amount of fees paid by the client for
investment and financial-related services.
Portfolio Management Fees
As noted above, Strathmore Capital provides financial planning advice in conjunction with portfolio
management services for one all-inclusive fee. The current annual fee schedule, based on a
percentage of assets under management, is as follows:

Strathmore Capital charges a minimum annual fee of $4,000 (i.e., $1,000 per quarter) for new
advisory relationships. However, Strathmore Capital may, at its discretion, make exceptions to the
foregoing and negotiate special fee arrangements based on factors including, but not limited to, the
complexity of the relationship, the size and nature of assets, and potential future business, and where
Strathmore Capital otherwise deems it appropriate under the circumstances.
Portfolio management fees are generally payable quarterly, in advance. Fees are prorated for asset
flows of $50,000 or greater. If management begins after the start of a quarter, fees will be prorated
accordingly. With client authorization and unless other arrangements are made, fees are normally
debited directly from client account(s).
Either Strathmore Capital or the client may terminate their Investment Advisory Agreement at any
time, subject to any written notice requirements in the agreement. In the event of termination, any
paid but unearned fees will be promptly refunded to the client based on the number of days that the
account was managed, and any fees due to Strathmore Capital from the client will be invoiced or
deducted from the client’s account prior to termination.
Retirement Plan & Endowment Advisory Services Fees
As noted below in Item 7 - Types of Clients, Strathmore Capital provides financial planning and
portfolio management services to endowments. As is the case for individual clients, Strathmore
Capital offers these services for one all-inclusive fee. The current annual fee schedule for portfolio
management services for endowments and participant-directed qualified retirement plans (as
defined above), based on a percentage of assets under management, is as follows:

Strathmore Capital requires a minimum annual fee of $2,000 for providing services to endowments
and participant-directed qualified retirement plans (i.e., $500 per quarter). However, Strathmore
Capital may, at its discretion, make exceptions to the foregoing or negotiate special fee arrangements
based on factors including, but not limited to, complexity of the relationship, size and nature of assets,
and potential future business, and where Strathmore Capital otherwise deems it appropriate under
the circumstances.
Tax Preparation & Consulting Services
The fee for Strathmore Capital’s tax preparation and consulting services is variable and depends on
the complexity of the engagement and scope of work. However, Strathmore Capital requires a
minimum annual fee of $500 for providing such services.
Strathmore Capital may, at its discretion, make exceptions to the foregoing or negotiate special fee
arrangements based on factors including, but not limited to, complexity of the relationship, size and
nature of assets, and potential future business, and where Strathmore Capital otherwise deems it
appropriate under the circumstances.
If the fee for tax preparation and consulting services is not included in a client’s portfolio
management fee, then the fee will be separately billed directly to the client upon completion of the
services (e.g., upon filing the tax return). A client may, in writing, grant Strathmore Capital the
authority to deduct the tax preparation and/or consulting fee directly from the client’s investment
account(s) managed by Strathmore Capital.
Use of SyntheticFi’s Services
SyntheticFi charges an Annual Management fee of 0.50% of the loan amount, charged monthly and
in advance. For example, if SyntheticFi manages a client’s $100,000 portfolio and trades a box spread
as a synthetic loan on January 1, 2026 that expires on December 31, 2026, with loan size (value-at-
expiration) of $50,000, the monthly management fee for July 2026 would be calculated as:
$50,000 × 0.50% × = $21.23
regardless of the balance withdrawn. This fee is charged and collected by SyntheticFi, and
Strathmore Capital receives no portion of it. SyntheticFi is responsible for sending monthly client fee
invoices via email, and the fees will be charged via the payment method on file with SyntheticFi. |

Item 7 - Types of Clients Strathmore Capital serves individuals, trusts, and institutional accounts such as corporations, charitable organizations, endowments, and pension and profit-sharing plans. Strathmore Capital generally prefers to work with a minimum of $1,000,000 in managed assets for new client advisory relationships, although the firm may, in its sole discretion, make exceptions to the foregoing. Strathmore Capital does not otherwise impose a minimum fee. |
