Item 5: Fees and Compensation

A. Fee Schedule
SWP charges an investment management fee for assets under their management. Investment Management
fees are negotiable and calculated as per annum basis per the applicable percentages shown in the table
below:

SWP uses the balance in the client’s account on the last day of the prior billing period to determine the market
value of the assets upon which the advisory fee is based.
The final fee schedule will be memorialized in the client’s advisory agreement. Clients may terminate the
agreement without penalty for a full refund of SWP's fees within five business days of signing the Advisory
Agreement. Thereafter, clients may terminate the Advisory Agreement immediately upon written notice.
SWP may pay sub-advisors or TPM for use of their platform out of this fee or the TPM fee may be charged
directly to the client account. The fees charged by TPMs vary depending on the manager and strategy
selected. The total fee charged to the client will change based on the TPM selected, the internal cost to our
firm may also vary depending on which TPM is used. This creates a potential conflict of interest, as we may
have an incentive to recommend a TPM that charges a lower fee to our firm or a lower fee to the client, which
can increase the portion of the total fee that we retain. We address this conflict by evaluating TPMs based on
objective criteria, including their investment philosophy, performance history, risk management,
operational structure, and suitability for the client’s needs. We act in the client’s best interest when
recommending TPM’s.
Financial Planning Fees
Our Financial Planning Services fee typically ranges from $0 to $10,000 per engagement per year, depending
on the scope and complexity of the services provided. The actual fee for each client is determined based on
several factors, including the estimated time commitment required to complete the engagement; the
complexity of the client’s financial circumstances (e.g., number of accounts, entities, or planning components
such as estate, tax, or business interests); and the specific planning topics to be addressed.
Although billed as a single fee or ongoing fee, the amount is generally derived from an internal estimate of
the number of hours required to complete the work, multiplied by the firm’s internal hourly rate, which does
not exceed $500 per hour.
All financial planning fees are negotiable and are agreed upon with the client in writing prior to the start of
the engagement. Fees will be billed in advance. Clients may terminate the agreement without penalty, for full
refund of SWP’s fees, within five business days of signing the Advisory Agreement. Thereafter, clients may
terminate the Advisory Agreement generally upon written notice.

B. Payment of Fees
Payment of Portfolio Management Fees
Asset-based portfolio management fees are withdrawn directly from the client's accounts with client's
written authorization or may be paid via electronic invoice with various forms of payment available on a
quarterly basis. The annual fee is divided into quarterly installments and paid in advance.
Portfolio Management Fees are normally collected by SWP while TPM fees are collected by the TPM, but
Portfolio management fees may be collected by TPM. TPM may keep a portion of the fee that is paid for SWP’s
use of their platform and will forward SWP the remainder of the fee. TPM fees charged to SWP or the client

may vary depending on which TPM is selected or what investment strategy is selected from the TPM but
normally range from .30% to .99% per annum basis. If SWP determines to utilize the services of SyntheticFi,
they charge an Annual Management fee of 0.50% of the loan amount which is calculated by the illustration
below: For example, if SyntheticFi manages a client’s $100,000 portfolio and trades a box spread as a
synthetic loan on January 1, 2023, that expires on December 31, 2023, with loan size (value-atexpiration) of
$50,000, the monthly management fee for July 2023 would be calculated as $50,000*0.50%*(31/365)
=$21.23, regardless of the balance withdrawn. SyntheticFi shall be responsible for sending monthly client
fee invoices via email. The fees will be charged via client credit card on file at SyntheticFi.
We seek to mitigate this conflict by conducting due diligence on each TPM’s qualifications, performance, and
suitability for each client. We base our recommendations on the best interest of the client.
Payment of Financial Planning Fees
Financial planning fees are paid via electronic invoice with various forms of payments available.
Financial Planning Services fees that are charged as a single fee (Fixed Fee) are paid in advance and completed
within 120 days. Financial Planning Services fees that are charged as an ongoing fee (Ongoing Fee) are paid in
installments (monthly, quarterly or semi-annually) in advance of services being provided. This structure is
designed to avoid prepayment of more than $500 in fees six months or more in advance. In limited cases, if
a client’s financial planning fee is $500 or less, the Firm may permit annual billing in advance.

C. Client Responsibility for Third Party Fees
Clients are responsible for the payment of all third-party fees associated with brokerage accounts (i.e.
custodian fees, brokerage fees, mutual fund fees, transaction fees, etc.). Those fees are separate and distinct
from the fees and expenses charged by SWP. Please see Item 12 of this brochure regarding broker-
dealer/custodian.
