Item 5: Fees & Compensation
Compensation for Our Advisory Services
Asset Management:

The fees assessed for this service will be an annual AUM-based fee, based on the table above, and the
maximum AUM-based fee shall be 2.00%. Representatives of our firm may charge on a varied fee
schedule or as a flat negotiated AUM-based fee. In the event that the firm will utilize Turnkey Asset
Management Programs (TAMPs) there will be additional .05% charge added onto the above disclosed
fee. The fee charged will be outlined in the separate client advisory agreement. Annualized fees are
billed on a pro-rata basis quarterly in advance based on the value of the account(s) on the last day of
the previous month; However, the investment advisor representative may bill on a different
schedule, as disclosed on the separate client advisory agreement. Fees are negotiable and will be
deducted from client account(s) by our firm and/or the chosen Sub-Adviser or SMA. Applicable fees
between multiple accounts may be debited from one account, per the client’s request, but under no
circumstance will this be billed to a qualified retirement account. Specifically, adjustments will be
made for any deposits or withdrawals of $10,000 or more that occur within the quarter. These
adjustments will be prorated based on the timing and amount of the cash flow to ensure a fair and
accurate fee calculation.. In rare cases, our firm will agree to directly invoice. As part of this process,
clients understand the following:
a) Clients must provide our firm with written authorization permitting direct payment of
advisory fees from their account(s) maintained by a custodian who is independent of our
firm;
b) Our firm sends quarterly statements to the client showing the fee amount, the value of the
assets upon which the fee is based, and the specific manner in which the fee is calculated as
well as disclosing that it is the client’s responsibility to verify the accuracy of fee calculation,
and that the custodian does not determine its accuracy; and
c) The account custodian sends a statement to the client, at least quarterly, showing all account
disbursements, including advisory fees.
Client will be charged an annual account fee of $50 for each account managed by SWM. This fee
covers the cost of services provided by a third-party account aggregation and reporting provider.
IAR will utilize TAMPs, Turnkey Asset Management Program. Client consents to an additional .05%
charge added onto the above disclosed fee.

Held Away and Non-Custodial Asset: Based on the above assessed fee, the fee for the advisory
services shall be paid based on the value of the Plan’s assets on the last day of the previous quarter
or month, if in advance, and on the last day of the quarter or month, if in arrears.
To comply with CCR Section 260.238(j), we disclose that lower fees for comparable services
may be available from other sources.
