Item 5: Fees and Compensation

The fees applicable to the Clients are set forth in detail in the Offering Documents. A general
summary of the fees charged by the Adviser is provided below.

Asset Manager Fee

The Funds pay the Adviser a management fee of 0.25% per annum based on the value of the
Fund Investor’s capital commitment or invested capital (the “Asset Manager Fee”). The Asset
Manager Fee is payable quarterly in advance. The Adviser may waive or reduce the
management fee charged to Fund Investors as provided in the Offering Documents.

Other Types of Fees or Expenses

Expenses borne by each Fund are detailed in its respective Offering Documents. In general,
each Fund will cover all costs, fees, and expenses associated with its investments. These
include expenses related to the Fund’s organization, qualification to do business, and
fundraising. They also cover all costs incurred in connection with identifying, purchasing,
holding, monitoring, hedging, restructuring, refinancing, disposing of (or proposing any of the
foregoing) investments or proposed investments. In addition, the Funds are responsible for all
broker, dealer, or finder fees and expenses, provided that, for the avoidance of doubt, this
excludes expenses incurred in connection with the issuance of interests in a Fund.

Expenses may also include due diligence, research, legal, compliance, and administrative costs,
including all travel (including the use of first or business class), transportation, lodging, meals,
entertainment, and other similar expenses relating to the foregoing, unless covered by the
proposed investment or portfolio investment.

Additionally, the Funds bear expenses incurred in its ongoing operations and administration,
such as legal, regulatory, compliance, tax, auditing, accounting, consulting, bookkeeping,
record-keeping, and clerical services, including all unreimbursed third-party out-of-pocket
costs and expenses of custodians, paying agents, registrars, counsel, independent accountants,
and others, unless such expenses, fees or costs are paid for by a portfolio investment or a
proposed portfolio investment, and including, for the avoidance of doubt, costs of compliance

with applicable law, including data protection laws, and any anti-money laundering and anti-
corruption laws and regulations, including any third-party administration fees.

The Funds bear all expenses, fees, and costs incurred in connection with the preparation of or
relating to financial and tax reports made to the partners and portfolio valuations.

The Funds also incur expenses of related special purpose entities through which investments
are held or managed, including costs associated with establishing and administering such
entities, maintaining a permanent residence in certain jurisdictions (such as rent for office
space, related overhead and employee salaries and benefits), and dissolving, winding-up, and
liquidating such entities.

The Funds are responsible for all expenses, fees, and costs relating to investor meetings,
consents and approvals from the Fund’s limited partner advisory committee (“Limited Partner
Advisory Committee” or “LPAC”) or Fund Investors (including reasonable travel expenses),
including documented professional and attorneys’ fees incurred by the LPAC in connection
with the exercise of its responsibilities and approved by the LPAC. Fund expenses include
government filings, litigation, Asset Manager Fees, permitted borrowings, indemnification
obligations, insurance, and any required regulatory or administrative filings. Tax-related costs
include fees levied against the Fund (not attributable to individual partners) and any expenses
tied to tax audits or reviews.

Fund expenses include all expenses, fees, and costs incurred in relation to obtaining consents
or approvals of the LPAC or any Fund Investor.

Furthermore, the Funds cover expenses for obtaining consents or approvals from the Limited
Partner Advisory Committee or any Fund Investor and preparing reports required by any
governmental authority.

Limited Partner Advisory Committee fees and costs related to litigation involving or arising in
respect of the Fund, directly or indirectly, including, without limitation, attorneys’ fees incurred
in connection therewith. Asset Manager Fees, interest on borrowings, indemnification or
contribution obligations, and insurance costs related to the Fund’s activities are also covered.
This includes compliance with laws and regulations, litigation or governmental inquiries, taxes,
and expenses related to tax audits or reviews.

The Funds cover all Asset Manager Fees. Additionally, they bear the interest on and all
expenses, fees, and costs arising from any permitted borrowings made by the Funds. This
includes all expenses, fees, and costs related to a Fund’s indemnification or contribution
obligations.

The Funds also cover all expenses, fees, and costs associated with any litigation, the expenses,
fees, and costs of any litigation, director, and officer liability or other insurance and
indemnification or extraordinary expense or liability relating to the affairs of the Funds. The
Funds also cover all expenses, fees, and costs (including reasonable legal fees and expenses)
incurred to comply with any law or regulation related to the activities of the Funds (excluding
expenses associated with the initial registrations in connection with the offering of Interests in
the Funds, including those contemplated by any applicable “blue sky” regulations which shall
be comprised within Organizational Expenses) or incurred in connection with any litigation or
governmental inquiry, investigation, or proceeding involving the Fund, including the amount
of any judgments, settlements, or fines paid in connection therewith.
