Item 5: Fees and Compensation
      The Investment Manager does not charge a management fee to its clients. Instead, the Investment
      Manager and the Adviser employ an expense-based pass-through model. Further, the Investment
      Manager charges all clients an “Incentive Fee” if certain financial targets, agreed to with each client,
      are achieved.

      Pass-Through Expenses

      The Investment Manager will typically seek reimbursement of all expenses on a monthly basis.
      Unless otherwise agreed, expense reimbursements payable by the Fund clients will be deducted
      from Fund accounts. The Investment Manager has agreed with its current Managed Account client

      that the Investment Manager shall submit, on a monthly basis, a summary of the proposed expenses
      payable by the Managed Account client.

      The Investment Manager may waive, reduce, calculate or allocate differently any expense described
      below for any client, including but not limited to any “Investment Manager-Related Investor”. An
      “Investment Manager-Related Investor” includes any Management Group entity, the Investment
      Manager’s principal owners and any other member, director, manager, shareholder, partner, affiliate
      or employee of any Management Group entity, any member of the immediate family of such a
      person and any trust or other entity established by or for the benefit of such a person or any other
      person as determined by the Investment Manager that invests directly or indirectly in a client.

      Expenses Allocated to All Client Accounts

      To the extent that the client account benefits from a “ Management Group Expense” (as described
      below) then such client account will pay an allocable share of such Management Group Expense.

      Management Group Expenses

      The following is a description of the Management Group Expenses that will be allocated to clients.
      However, the specific Management Group Expenses that each client will be allocated may vary and,
      with respect to Managed Account clients, be subject to negotiation. For the avoidance of doubt, to
      the extent allocable Management Group Expenses do vary from client to client, the Investment
      Manager will not cause one client to pay any part of an expense that would otherwise have been
      allocable to another client.
           •    The Management Group's “Infrastructure Expenses” including any and all: (i) expenses
                related to portfolio pricing services, accounting software, expense allocation software and risk
                management and similar systems and any related data, supplies and services; (ii) costs of
                financing the operations of the Management Group including interest, finance charges and
                other finance related costs or fees; (iii) costs related to errors and omissions, professional
                liability, directors’ and/or officers’ and cybersecurity insurance for any Management Group
                entity and its members, partners, directors, managers, shareholders, officers, employees and
                agents; (iv) corporate licensing fees and expenses; (v) expenses relating to marketing,
                soliciting, investor and public relations activity, including expenses incurred in connection
                with customer relationship management software; (vi) expenses incurred in connection with
                meals, travel and lodging and entertainment of the Management Group; (vii) research and
                development expenses incurred by the Management Group (except as set out below under
                "Front Office Expenses"); and (viii) other expenses that the Investment Manager, acting in good faith,
                reasonably deems to be an Infrastructure Expense.

           •    The Management Group's “Front Office Expenses”, including any and all: (i) front office
                technology, licensing, consultancy and acquisition costs and expenses; (ii) trading
                infrastructure expenses; (iii) expenses of information systems, Bloomberg or similar front
                office terminals; (iv) front office internal research and development expenses; and (v) other

                expenses that the Investment Manager, acting in good faith, reasonably deems to be a Front
                Office Expense.

           •    The Management Group's “Office Expenses”, including any and all: (i) overhead expenses
                of the Management Group such as rent (including all pre-payments, deposits, and all other
                costs, fees and expenses associated with offices and other premises used by any member of
                the Management Group (including relevant insurances and property-related fees)), utilities,
                office design, furniture and fixtures telephone and internet services, secretarial and other
                support services (including cleaning and health and safety-related services), and general
                office supplies and expenses (including expenses for stationery and related items); and (ii)
                other expenses that the Investment Manager, acting in good faith, reasonably deems to be
                an Office Expense.

           •    The Management Group's “Personnel Expenses” attributable to employees, members,
                partners, shareholders, secondees, consultants or other personnel engaged, employed or
                contracted by a Management Group entity, including any and all direct and indirect: (i) base
                compensation; (ii) performance-based compensation and other similarly calculated amounts
                that directly or indirectly accrues for the benefit of employees, members, partners,

Item 7: Types of Clients
      The Adviser's only direct client is the Investment Manager. As part of providing services to its
      clients, the Investment Manager appoints various affiliates, including the Adviser, to act as sub-
      investment managers to parts of certain of the Investment Manager's client accounts.

      The Investment Manager provides investment advice to Funds and the Managed Account, as
      described above (accordingly, the Adviser's advisory activities relate to accounts beneficially owned
      by the Funds and Managed Account).

      The minimum commitment to invest in the Funds is outlined in the applicable governing Fund
      documents but is typically $10,000,000. However, the directors of the Funds maintain discretion to
      accept less than the minimum investment threshold. Although the Investment Manager intends to
      accept new capital primarily through the Funds, it may accept certain institutions as separately
      managed account clients, the minimum account sizes for which will negotiable and considered on
      a case-by-case basis.
