Item 5 Fees and Compensation
Portfolio Management Fees
We charge a negotiable advisory fee of up to 1% of assets under management quarterly or monthly in
arrears. Our fees are calculated on the value at the last business day of the quarter. Advisory fees
charged by SEI are separate and apart from our advisory fees. Advisory fees that you pay to SEI are
established and payable in accordance with the brochure provided by SEI. These fees may or may not
be negotiable. You should review SEI's brochure and take into consideration SEI's fees along with our
fees to determine the total amount of fees associated with this program.
If the portfolio management agreement is executed at any time other than the first day of a calendar
quarter/month, our fees will apply on a pro rata basis, which means that the advisory fee is payable in
proportion to the number of days in the quarter/month for which you are a client. Our advisory fee is
negotiable, depending on individual client circumstances.
At our discretion, we may combine the account values of family members living in the same household
to determine the applicable advisory fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining
account values may increase the asset total, which may result in your paying a reduced advisory fee
based.
The qualified custodian holding your funds and securities will deduct our fee from your account. The
fee to be deducted will be stated in the custodian's account opening forms that is signed by you to
indicate your authorization. By signing the custodian's account opening form you will be permitting the
fees to be paid directly from your account. The qualified custodian will deliver an account statement to
you at least quarterly. These account statements will show all disbursements from your account. You
should review all statements for accuracy.
You may terminate the portfolio management agreement upon 30 days written notice. You will incur a
pro rata charge for services rendered prior to the termination of the portfolio management agreement,
which means you will incur advisory fees only in proportion to the number of days in the quarter/month
for which you are a client.
Financial Planning Fees
If you wish to engage our firm for financial planning services, fees will be based on the schedules set
forth below and as agreed upon between you and our firm.
Fixed Fees: The fixed fee for a financial plan will range between $500 and $10,000 and could be
higher based upon the individual situation. Factors that are considered when determining the cost of a
financial plan, include but are not limited to:
• The scope of the plan, i.e., plans that cover all aspects of your financial plan such as business
succession, exit planning, estate planning, retirement needs, education planning, and
successor trusts, among others, would warrant a higher fee that a more simplistic client
situation covering typical financial needs for current money management and retirement.
• Complexity of your financial situation, i.e., trusts, estates, business ownership, tax brackets and
other personal needs.
The fixed fees will be determined on a case-by-case basis dependent upon the complexity of the
financial plan or services requested. Upon your entering into a financial planning agreement with us,
an initial retainer of 50% of the estimated fee is due and payable. The remaining balance of 50% is due
upon delivery of the written financial plan.
Hourly Fees: If you require or request specific consulting related services; we charge an hourly fee of
$250. An estimate of the total time/cost will be determined at the start of the advisory relationship and
the fee will be payable upon execution of the financial planning agreement. In limited circumstances,
the time/cost could potentially exceed the initial estimate. In such cases, we will notify you and may
request that you approve the additional fee which will be payable upon completion of the consulting
service.
Either party may terminate the financial planning agreement within five business days of the date of
acceptance without any penalty. After the five-day period, either party may terminate the agreement by
providing written notice to the other party. Refunds are not applicable since fees are payable in
arrears.
Pension Consulting Services Fees
The compensation arrangement for these services will generally be based on a plan assets under
management up to 1.0%. Our advisory fee for these customized services is negotiated with the plan
sponsor or named fiduciary on a case-by-case basis
We may also provide additional types of pension consulting services to plans on an individually
negotiated basis. All services, whether discussed above or customized for the plan based upon
requirements from the plan fiduciaries (which may include additional plan-level or participant-level
services) shall be detailed in a written agreement and be consistent with the parameters set forth in the
plan documents.
The services we provide to your Plan and the compensation we receive for these services are
described above, and in the service agreement that you have previously signed. We do not reasonably
expect to receive any other compensation, direct or indirect, for the services we provide to the Plan
or Participants, unless the plan sponsor directs us to deduct our fee from the plan or directs the plan
record-keeper to issue payment for our fee out of the plan.
Either party to the pension consulting agreement may terminate the agreement upon 30-days' written
notice to the other party. The pension consulting fees will be prorated for the quarter in which the
termination notice is given and any unearned fees will be refunded to the client.

Item 7 Types of Clients We offer investment advisory services to individuals, pension and profit sharing plans, trusts, estates, charitable organizations, corporations, and other business entities. In general, we do not require a minimum dollar amount to open and maintain an advisory account; however, we have the right to terminate your Account if it falls below a minimum size which, in our sole opinion, is too small to effectively manage. |
