5. FEES AND COMPENSATION
The following paragraphs detail the fee structure and compensation methodology for services provided by UWM. Each
client engaging the Advisor for services described herein shall be required to enter into a written agreement with the
Adviser.
INVESTMENT MANAGEMENT SERVICES

The Adviser charges an investment management fee based on a percentage of assets under management (“AUM”),
billed monthly in arrears based on the value of the account(s) as of the last day of the preceding month (the “Fee”).
The annual Fee is negotiable and generally ranges from 1.25% to 0.15%, with lower rates typically applied to higher
levels of AUM.

The applicable Fee schedule is established at the inception of the advisory relationship and is not automatically
adjusted solely due to market performance or routine fluctuations in account value. Any changes to the Fee schedule
will be made at the Adviser’s discretion and/or by mutual agreement with the client.

Advisory services are tailored to each client’s individual financial circumstances, objectives, and overall relationship
with the Adviser. Services are delivered through a team-based advisory approach, where investment management,
financial planning, and other relevant considerations are coordinated to support the client’s overall financial situation.

For clients maintaining $1,000,000 or more in assets under management with the Adviser, financial planning services
are generally included as part of the overall advisory relationship. Clients below this threshold may receive financial
planning services as part of the advisory relationship or under a separate fee arrangement, depending on the scope of
services agreed upon.

The scope of services and applicable fees are determined based on a number of factors, including, but not limited to,
the complexity of the client’s financial situation, level of assets, and the nature of services provided. The Adviser
applies its fee schedules in a manner it believes is fair and reasonable.

The Adviser may, in its sole discretion, reduce its investment management fee, charge a flat fee, or implement another
mutually agreed-upon fee arrangement, as further described in this disclosure brochure.

Fees are typically deducted directly from client accounts as authorized in the Investment Management Agreement
(“IMA”). The IMA remains in effect until terminated by either party. Clients may terminate the agreement at any time
upon written notice. Upon termination, fees will be assessed on a pro rata basis through the effective date of
termination, based on the value of the account(s) as of the last full billing period, adjusted for the number of days
services were provided during the final billing period.

In certain instances, a sub-adviser’s fee may encompass the Adviser’s management fee, in which case the Adviser will
not charge a separate investment management fee.

SUB-ADVISORY SERVICES
Sub-advisory fees, where applicable, are generally calculated as an annual percentage of assets under management
and are prorated and billed monthly in advance based on the market value of assets as of the last day of the prior
month, as outlined in the applicable advisory agreement between the client and the Sub-Advisor.

The Adviser and Sub-Advisor may mutually agree to a reduced fee for certain clients. In certain arrangements, the
Sub-Advisor’s fee may encompass the Adviser’s management fee, in which case the Adviser will not charge a
separate investment management fee.

Clients may incur additional fees and expenses associated with investments, including those charged by Sub-Advisors
or investment products. Detailed information regarding fees, billing practices, termination provisions, and other
requirements is provided in the Sub-Advisor’s Form ADV Part 2A and related client agreements.

Sub-advisory agreements typically remain in effect until terminated by either party upon written notice, as specified in
the applicable agreement.

FINANCIAL PLANNING

Financial planning services are provided based on the scope and complexity of services to be delivered. Fees are
determined at the outset of the engagement and are outlined in the client’s financial planning agreement (“FPA”).
Financial planning services may be provided as a standalone engagement or as part of an ongoing advisory
relationship, depending on the client’s needs and circumstances.

Financial planning engagements are generally structured as a 12-month retainer. The engagement types described
below reflect common planning scopes; however, the specific scope of services and applicable fees are tailored to
each client’s individual circumstances.

The fees shown above are typical and may vary based on the scope and complexity of services provided. The specific
fee and payment terms will be outlined in the client’s financial planning agreement (“FPA”).

Financial planning fees are invoiced directly to the client and are payable through electronic payment (e.g.,
ChargeZoom) or by check made payable to Urban Wealth Management Group. Payment terms may include either a
single payment or an installment arrangement, as specified in the FPA. For installment arrangements, a portion of the
fee may be due at the start of the engagement, with the remaining balance payable over a defined period.

The Adviser may offer a reduction in financial planning fees for clients who elect to pay the full fee in advance. Any
such discount, as well as applicable payment terms, will be disclosed in the client’s FPA. Fees are negotiable and may
vary among clients based on a number of factors, including the scope and complexity of services provided, the client’s
overall relationship with the Adviser, and other relevant considerations. As a result, similarly situated clients may pay
different fees.

7. TYPES OF CLIENTS
The Adviser generally provides investment advice to individuals, pension and profit-sharing plans, trusts, estates, or
charitable organizations, corporations, and business entities. Client relationships vary in scope and length of service.
The Adviser does not have a minimum account size requirement.
