Item 5: Fees and Compensation
  A.​ Adviser is compensated for its combined investment management and financial planning services
      primarily by fees charged based on a client’s assets under management, advisement, and/or
      supervision. However, certain clients will be charged pursuant to a different asset-based fee
      schedule, pursuant to a single asset-based fee applicable to all assets under management,
      advisement, and/or supervision, and/or pursuant to a flat fee. As such, similarly or identically
      situated clients will be charged different fees. Clients should refer to their signed services
      agreement with Adviser for their specific fee schedule / rate.​
      ​
      Adviser’s standard fee schedule is included below:​

      The standard fee schedule above is a “tiered” or “blended” fee schedule, which means that
      different annual fee percentages will apply to different ranges of client assets under Adviser’s
      management, advisement, and/or supervision. Fees are deducted in arrears on a monthly basis
      from clients’ assets and based upon the average daily balance of such assets managed by
      Adviser during the prior calendar month. Cash is included in the assets upon which fees are
      assessed, but Adviser retains the authority to exclude certain investment positions for fee
      calculation purposes.​

  B.​ Adviser is compensated for its financial planning services for a flat fee that typically ranges up to
      $6,000 per annum (which may be billed monthly or quarterly in arrears). However, certain clients
      will be charged higher flat fees depending on the nature and complexity of their financial situation
      and the financial planning services to be rendered by Adviser. As such, similarly or identically
      situated clients will be charged different fees. Clients should refer to their signed services
      agreement with Adviser for their specific flat fees.​

  C.​ Specifically with respect to investment consulting clients, Adviser will be compensated by Mutual
      Securities in an amount that is expected to range from 0.35% to 0.45% per year, payable
      quarterly in arrears, and based on the assets under consultation with Mutual Securities. ​

  D.​ In addition to the fees charged by Adviser, clients will incur brokerage and other transaction costs.
      Please refer to Item 12: Brokerage Practices, for further information on such brokerage and other
      transaction-related practices. Depending on the specific investment products held in a client’s
      account and the services provided, a client may also incur additional fees and costs charged by
      other independent and unaffiliated third-parties. Such additional fees and costs may include, but
      are not necessarily limited to, the internal fees and costs of an investment product (like a mutual
      fund or exchange traded fund), margin interest, account or asset transfer fees, subadvisory or
      third-party investment manager fees, account type fees, early redemption charges, market-maker
      or bid-ask spreads, retirement plan fees, trade-away or prime brokerage fees, fees for receiving
      paper copies of documents in lieu of electronically-delivered documents, and other fees and taxes
      on brokerage accounts and securities transactions. These additional charges are separate and
      apart from the fees charged by Adviser. Lower fees for comparable services may be available
      from other sources.

  E.​ If Adviser or client terminates the client services agreement before the end of a billing period,
      Adviser shall not charge a final pro rata fee in consideration of the period of time in the billing
      period after termination. Adviser does not charge fees in advance, and therefore no pro rata
      refund will be due to a client upon termination of the advisory relationship.
