Item 5: Fees and Compensation
       A. Fee Schedule
      For clients with less than $10,000 in assets, we charge $10 per month, in arrears. For
accounts whose average daily closing value for a particular month equals or exceeds
$10,000.00, we charge an asset-based advisory fee, in arrears each month, in the amount of
one-twelfth of one percent (1/12th x 1%) of average daily closing account value.
     We established these fees, and from time to time we may revise or waive them for
promotional or any other reasons. We do not negotiate our fees.
        Our receipt of an asset-based fee presents a conflict of interest. This is because the
more assets there are in a client’s account, the more a client will pay in fees. Therefore, we
have an incentive to encourage clients to increase the assets in their accounts. We address this
conflict of interest by ensuring any such recommendations are in the client’s best interest.

       B. Payment of Fees
       Asset-based advisory fees are deducted from client accounts each month in arrears
pursuant to the authorization granted to us by the client in our investment advisory
agreement. If a new account is opened that is subject to the asset-based fee, the first monthly
fee shall be prorated based on the portion of such month remaining. We authorize the
custodian to deduct these fees directly from your account and pay them to us. If you do not
have a sufficient cash reserve to cover the fees, we may, and typically will, liquidate some of
your holdings to raise a sufficient amount to cover the fees and/or anticipated future fees.
      The $10 fee charged on accounts under $10,000, is payable by credit card, debit card,
ACH transfer, Apple Pay®, or Google Pay®. We may also deduct that fee from the client’s
account, at our discretion.
       C. Client Responsibility for Third-Party Fees
      You are separately responsible for the payment of all third-party fees. We pay all fees
charged by Alpaca Securities with respect to the execution of transactions in your account; you
remain responsible for paying Alpaca certain other fees, as disclosed to you by Alpaca.

       D. Fees Upon Termination
       You may terminate the Robo-Advisory Agreement via the App. Monthly fees will be
pro-rated based on days elapsed before notice of termination is received by us. We will send
you an invoice for the partial fee for the final month.
       To maintain an account, you must pay our fees on a timely basis. Upon non-payment of
fees for five (5) business days or more after the due date, or if holdings or cash are insufficient to
pay our fees, we may terminate the Investment Advisory Agreement in our discretion for
cause.
       E. Commissions and General Disclosures
       Nestvst does not sell securities for a commission in client accounts.
         Lower fees for comparable services may be available from other sources. Material conflicts
of interest disclosed to the client in writing via this Brochure could cause Nestvst to render biased
or non-objective advice. To address these conflicts, we take into consideration the best interests of
clients.
       Clients are advised that the investment recommendations and advice offered by Nestvst are
not legal or accounting recommendations or advice. Clients should discuss the impact of financial
advice with their attorney and/or accountant. Clients are advised that it is necessary to inform

Nestvst with respect to any changes in the client’s financial situation and investment goals and
objectives. Failure to notify Nestvst of any such changes could result in investment
recommendations being made that are based upon inaccurate information and thus will not meet
the needs of the client.

Item 7: Types of Clients
       Nestvst provides Robo-advisory services to individuals, including high-net worth
individuals. Accounts may be opened by one individual. At this time, we do not offer accounts
to any other types of legal entities, retirement plans, or trusts.
         There is no minimum account size. We permit you to invest small amounts to fully
utilize the platform with minimal risk. Most clients appreciate the opportunity to become
familiar with the platform before choosing whether to invest substantially more. We believe
most clients intend to invest more than $10,000.00, although whether and how the benefits of
the platform justify the costs to use the platform can be determined by each of our clients for
themselves.
       For one monthly fee, you can invest small amounts in one or multiple different
portfolios, each of which follows its own distinct investment strategy. For each one, you can
monitor your achievement of associated financial goals.
