Item 5: Fees and Compensation

A. Fee Schedule

Selection of Other Advisers Fees

WFG may recommend sub-advisers and/or third-party money managers to its clients. These
sub-advisers / third-party money managers will share the investment advisory fees that are
charged on client accounts. The advisory fee charged will vary based on the sub-adviser /
third-party money manager chosen and the applicable investment models that are used in the
client's investment portfolios. The maximum advisory fee to the client for any accounts is
1.50%. WFG reserves the right to negotiate all fees. The client/adviser relationship,
including fee specifics, will be memorialized in each contract between WFG, the chosen third-
party adviser, and each client. The fees shared are negotiable and will not exceed any limit
imposed by any regulatory agency. The notice of termination requirements and payment of fees
for third-party investment advisers will depend on the specific third-party adviser selected.

Financial Planning Fees

Fixed Fees

The rate for creating client financial plans is between $495 and $2000. The fee may be
negotiable at WFG’s discretion, and the final fee schedule will be provided in
the Financial Planning Agreement.

Hourly Fees

The hourly fee for these services is $300. The fee may be negotiable in WFG’s
discretion and the final fee schedule will be provided in the Financial Planning
Agreement.

Educational Seminars and Workshops Fees

Most of the seminars and workshops hosted by WFG are at no charge to any attendee. In
very limited cases WFG may charge a small fee to offset the costs of materials provided,
room rentals, and other expenses. WFG’s seminars are not designed to be profit centers by
charging attendance fees to clients.

B. Payment of Fees

Payments of Other Advisers Fees

The timing, frequency, and method of paying fees for selection of sub-advisors and/or
third-party managers will depend on the specific adviser or manager selected and will be
disclosed to the client prior to entering into a relationship with the third-party advisor.

Payment of Financial Planning Fees

Fixed and Hourly Financial Planning fees are paid via check or credit card. Fees are paid
in advance, and all plans are delivered within six months of any financial planning
agreement. If for some reason plans cannot be delivered within that time frame, WFG
reserves the right to progress bill any plans in progress.

C. Clients Are Responsible For Third-party Fees

Clients are responsible for the payment of all third-party fees (i.e. custodian fees, mutual
fund fees, transaction fees, etc.). Those fees are separate and distinct from the fees and
expenses charged by WFG. Please see Item 12 of this brochure regarding broker/custodian.

D. Prepayment of Fees

For clients with sub-advisory accounts, currently through AEWM, WFG will bill client
accounts monthly in arrears. These fees will be deducted directly from client accounts at
the chosen custodian. For clients with third-party advisory accounts, fees will be deducted by
the third-party adviser and WFG will receive their pro-rated amount of this fee from the third-

       party advisor. Financial planning fees will be billed directly to the client, typically in arrears
       upon delivery of the financial plan. However, WFG reserves the right to collect deposits, or to
       do periodic list billing, for complex financial plans that may take extended time frames to
       complete. In no instance will WFG charge more than $12000 in advance for these services if the
       plan cannot be delivered within a 6-month period of time.

       The timing, frequency, and method of paying fees for selected third-party managers will
       depend on the specific third-party adviser selected and will be disclosed to the client prior
       to entering into a relationship with the third-party advisor.

       For all asset-based fees paid in advance, the refunded fee will be equal to the balance of
       the fees collected in advance minus the daily rate* times the number of days elapsed in
       the billing period up to and including the day of termination. (*The daily rate is calculated
       by dividing the annual asset-based fee by 365/366.)

       Fixed fees that are collected in advance will be refunded based on the prorated amount of
       work completed at the point of termination.

       For hourly fees that are collected in advance, the refunded fee will be the balance of the
       fees collected in advance minus the hourly rate times the number of hours of work that
       has been completed up to and including the day of termination.

       E. Outside Compensation For the Sale of Securities to Clients

       Neither WFG nor its supervised persons accept any compensation for the sale of securities
       or other investment products, including asset-based sales charges or service fees from the
       sale of mutual funds.

Minimum Account Size

There is an account minimum of $250,000, which may be waived by the investment adviser, based
on the needs of the client and the complexity of the situation.
