Item 5: Fees and Compensation
  A. Fee Schedule

     In consideration of its discretionary and non-discretionary management services, 1818PCG
     charges an annual asset-based advisory fee pursuant to the fee schedule below. The below fee
     schedule reflects a “cliff” schedule, such that all assets are billed at the same rate based on the
     amount of assets a client has designated to be under 1818PCG’s management back to dollar
     one.

     For both discretionary and non-discretionary management services, 1818PCG uses an average
     of the daily balance in the client's account(s) throughout the billing period, after taking into
     account deposits and withdrawals, for purposes of determining the market value of the assets
     upon which the advisory fee is based.

     Assets Under Advisement (AUA) Fees

     The fee for advising on assets held away from 1818PCG is 0.10% per annum of the defined
     account(s) at a minimum of $3,000.00 per quarter.

     These fees are negotiable and the final fee schedule will be memorialized in the client’s advisory
     agreement. Clients may terminate the agreement without penalty for a full refund of any fees
     charged in advance within five business days of signing the Investment Advisory Contract.
     However, 1818PCG does not charge such fees in advance and therefore no refund of fees would
     be applicable. Thereafter, clients may terminate the Investment Advisory Contract generally with
     30 days' written notice.

     The Hedging Strategies Fees

     In consideration of the investment advice it renders in connection with the Hedging Strategies,
     1818PCG charges fees equal to 0.25% of the USD trade value of each permitted derivatives
     transaction executed in the hedging strategies account, plus an annual fee of 0.50% of the
     notional amount USD of the permitted derivatives transactions in the hedging strategies account,
     calculated on a monthly basis (together, the “Hedging Services Advisory Fees”).

     The Hedging Services Advisory Fees will be paid automatically out of the hedging strategies
     account, (i) upon execution of a permitted derivatives transaction and (ii) monthly in arrears, as
     applicable.

  B. Payment of Fees

     Payment of Portfolio Management Fees

     Asset-based portfolio management fees are withdrawn directly from one of the client's managed
     accounts (or from a non-managed account of their choosing) with the client's written authorization

   on a monthly basis or may be invoiced and billed directly to the client on a quarterly basis. Clients
   may select the method in which they are billed. Fees are paid in arrears.

   Assets Under Advisement Fees

   Fees for advising on assets held away from 1818PCG will be billed directly to the client on a
   monthly basis in arrears. Clients may pay directly via ACH debit, check or wire.

   The Hedging Strategies Fees

   Fees charged for the Hedging Strategies are automatically deducted monthly in arrears from the
   custodial account utilized for the Hedging Strategies.

C. Client Responsibility for Third Party Fees

   Clients are responsible for the payment of all third party fees (i.e. custodian fees, brokerage fees,
   mutual fund fees, transaction fees, etc.). Those fees are separate and distinct from the fees and
   expenses charged by 1818PCG. Please see Item 12 of this brochure regarding
   broker-dealer/custodian relationships.

D. Prepayment of Fees

   1818PCG collects its fees in arrears. It does not collect fees in advance.

E. Outside Compensation for the Sale of Securities to Clients

   Neither 1818PCG nor its supervised persons accept any compensation for the sale of investment
   products, including asset-based sales charges or service fees from the sale of mutual funds.
