Item 5 – Fees and Compensation

Fees for our services are based on the value of assets under management with IWS as reflected below:

Our investment management fees are billed quarterly in advance and are based on the value of assets held in
your portfolio on the first day of each quarter. This fee is negotiable at our discretion and will be reflected in
the written agreement between us. You may choose to have fees deducted directly from your custodial account,
or you may be billed directly. Such details will be outlined in the written agreement between us. Management
fees will be adjusted for capital contributions or withdrawals during a calendar quarter, as described below.
Accounts initiated or terminated during a calendar quarter will be charged a prorated fee. Upon termination of
any account, any prepaid, unearned fees will be promptly refunded, and any earned, unpaid fees will be due and
payable. You have the right to terminate our Agreement without penalty within five business days after entering
into the agreement.

Your detailed quarterly Management Fee invoice can be found at the end of your Quarterly Performance Report.
We do maintain some legacy client accounts that do not conform to the above fee schedule.
Note that clients with multiple accounts will see detailed invoice breakdowns for each account. For clients who
contribute new money into their portfolio during the quarter, there will be a “New Money” invoice reflecting the
pro rata quarterly billing for that contribution. For clients who distribute money out of their portfolio during
the quarter, there will be a “Distribution” line item reflecting the pro rata refund credited against the invoice.
Our calculations are as precise as possible accounting for the different number of days in each calendar quarter
(E.g. 90, 91, or 92) and even the different total number of days during a leap year (E.g. 365 or 366). If you have
any questions about your invoices, please let us know.
As more fully discussed in Item 10 – Other Financial Industry Activities and Affiliations below, IWS, through
common ownership, is affiliated with MFO Resource, Inc. (“MFO”) a California corporation offering property
management services.

In certain situations, we may recommend the purchase of an interest in a private investment vehicle. We do not
share performance fees, however, depending on the issuer, we will charge 1.00% annually, (billed .25% on a
quarterly basis), for due diligence, reporting and pricing of the asset. Management fees for private investments
are based on issuer/manager valuation statements. IWS does not independently value such assets. Private
investments that are not valued daily will be billed based on the previous quarter end value in the subsequent
quarter to allow for receipt of asset valuation confirmation from the issuer/manager. Fees on private
investments will be deducted from your designated custodial account at Schwab if applicable. If no such account
exists then payments may be made via credit card or check. Any such fees will be outlined in our written
advisory agreement with you.

Fees are negotiable based on total client investible assets. Asset management fees may be reduced from the
above stated rate for employees/family or friends of IWS at our discretion. Lower fees for comparable services
may be available from other sources.

Financial Planning services are offered free of charge or at reduced rates on an hourly or fixed fee basis for
clients maintaining investments through IWS. Our standard hourly fees range from $75 - $400 per hour, fixed
fee planning is $2,000 - $10,000 depending on the type of planning and the individual(s) preparing the plan.
Financial Planning fees are billed directly via invoice to you. We typically require 50% of the estimated fees to
be paid in advance with the balance due upon delivery of the Plan. Notwithstanding the previous sentence, at no
time do we charge more than $500 six or more months in advance.

IWS fees are exclusive of brokerage commissions, transaction fees, and other related costs and expenses which
you will incur. These expenses include fees charged by managers, custodial fees, deferred sales charges, odd-lot
differentials, transfer taxes, wire transfer and electronic fund fees, or other fees and taxes on brokerage
accounts and securities transactions. Mutual funds and exchange traded funds also charge internal management
fees, which are disclosed in a fund’s prospectus. Such charges, fees and commissions are exclusive of and in
addition to IWS’s fee. We do not receive any portion of these commissions, fees, and costs.

We provide portfolio management services to individuals, high net worth individuals, corporate pension and
profit-sharing plans, charitable institutions and foundations.

We generally require a minimum account of $350,000 to open a portfolio, but this minimum may be waived at
our discretion.
