Item 5 – Fees and Compensation
Portfolio Management Services – Two Investment Strategies
All of the Firm’s fees are negotiable. Abacus Capital Advisors' standard fee schedule is as
follows:
1) Core Portfolio – Bonds / Stocks portfolio – fee based on AUM no performance
Client Accounts on Interactive Brokers – Core Portfolio – Bonds / stocks portfolio

2) Abacus Alpha Portfolio ‐ 100% equity strategy

Clients have the option to purchase investment products that Abacus Capital Advisors
recommends through other brokers or agents that are not affiliated with Abacus Capital
Advisors.
Abacus Core Portfolio ‐Fee Structure ‐ Explanation
The fee charged by Abacus Capital Advisors to Clients on Interactive Brokers’ platform will
be calculated and paid monthly in arrears based upon the daily average net asset value
balance. For example, accounts between $400k and $7+ million will be charged a fee of
0.60% up to 1.25% depending on client size and where client has his/her assets and paid to
the Firm on a monthly basis. Clients utilizing leverage will be charged on a quarterly basis in
arrears using the monthly average balance (1st day of the month + Last Day divided by 2)
This will be recorded monthly and charged on a quarterly basis. Clients charged directly by
Interactive Brokers at the end of the month will be issued a receipt within 5 business days of
the following month, this is done automatically through Interactive Brokers. Clients may elect
to pay fees for Leverage via Interactive Brokers by pre-approving, in writing a set
maximum amount that may be deducted quarterly. This amount is to be determined by the
Client in writing and needs to be approved on Interactive Brokers platform. Clients will be
sent an invoice prior to any leverage fees being deducted.
Abacus Alpha Portfolio ‐Fee Structure – Explanation
The Alpha portfolio is an aggressive investment strategy consisting primarily of equities with
an options overlay. The overall objective is to outperform the Vanguard Total World ETF
(VT) over the long-run.
This strategy looks for mispriced securities to take advantage of and typically will be fully
invested in individual company equities. It may at times hold a portion of the portfolio in cash
and may hedge depending on the market environment. The options /futures component of
the strategy involves buying and selling call and put options. The Alpha portfolio will never
sell naked call options.
Due to the active nature and level of attentiveness required for the Alpha portfolio, the fee is
a 1% AUM annual fee along with a 20% outperformance fee with a high watermark
calculated daily and charged quarterly. For example, if the portfolio increases 15% and the
benchmark increases 10%, the performance fee would be 1% (20% of the 5% of
outperformance). There will be no performance fee involved if the strategy doesn't
outperform its benchmark. The outperformance will be paid in any scenario as long as the
portfolio outperforms the benchmark meaning that during a time period that the markets are
down, as long as the portfolio loses outperforms the benchmark, 20% performance fee will
also be applied in this scenario.
Clients using other platforms will also be billed on a monthly basis. We will issue an invoice
within the first 5 business days of the following month. Clients utilizing leverage will be
issued an invoice within the first 5 business days after the close of the quarter.
Fees are due within 14 days of receipt of the invoice. Clients may elect to pay fees by check,
wire transfer, or Credit Card with an additional merchant transaction fee of 2.9%. If paid via
Credit Card, the additional transaction fee will be billed to the Client in the subsequent
period.
Abacus Capital Advisors' fees are negotiable and may be higher than other advisers offering
comparable services.
The fees charged by Abacus Capital Advisors will be in addition to other expenses such as
brokerage and transaction costs, custodial fees, or other expenses that may be charged by
third-parties. Additional information about brokerage practices may be found in Item 12
below.
The Firm will invest Client assets in shares of investment companies, including ETFs and
open-end mutual funds. Assets invested in such investment companies will be included in
computing the management fees paid to Abacus Capital Advisors. The same assets will also
be subject to additional advisory and other fees and expenses as set forth in the prospectuses
of those investment companies, paid by the investment companies, but ultimately borne by
Clients.
Clients will enter into a written Investment Advisory Agreement with Abacus Capital
Advisors at the time we are retained. The agreement may be terminated by the Client
immediately upon notice during the first five (5) business days from the date of execution
without penalty. Thereafter, the agreement may be terminated by either party upon thirty
(30) days written notice. If a Client terminates the investment management agreement with
the Firm in the middle of a billing period the Firm will invoice the client for an amount that is
pro-rated based on the number of days that the account was managed.

Item 7 – Types of Clients Abacus Capital Advisors provides its services to individuals, trusts and estates, businesses, and employee benefit plans. Abacus Capital Advisors imposes a minimum account value of $400,000 on managed accounts. However, we may, in our sole discretion, accept accounts with a lower initial account value if we determine that the timing strategy is suitable for such an account. Such a determination will be made on a case-by-case basis upon information furnished by prospective Clients. As noted previously, Abacus Capital Advisors also provides customized investment advisory services to other investment managers, investment platform providers, and institutional Clients. In these institutional engagements, Abacus Capital Advisors has no investment advisory relationship with the clients of these institutions. Minimums for these services are negotiated separately, based on the type of services to be provided. |
