ITEM 5 FEES AND COMPENSATION A. DESCRIPTION AND BILLING AFS is paid twenty-five percent (25%) of the subscription fee that Clients pay to ARS. AP will serve as the sole sponsor of the PEPs that AFS will service. The participating employers are billed a quarterly subscription fee that enables them to access the PEPs sponsored by AP. When AFS has not engaged a third- party investment manager, the participating employer has less than 30 participants and their participants’ aggregate asset value in the PEP is less than $11,250,000, ARS will charge an annual fee of $75 per participant. The minimum fee is $600 per year. When AFS has engaged a third-party investment manager, the annual fee for AFS services is $60 per participant up to a $4,000 cap. There is no asset-based fee and the minimum is $200 per year. If the participating employer has more than 30 participants, and their participant’s aggregate asset value in the PEP is less than $11,250,000, ARS will charge a fixed annual fee of $2,250. If the participating employer’s participants’ aggregate asset value in the PEP is more than $11,250,000, ARS will charge an annual asset-based subscription fee of 0.02% of assets under management. In no case will ARS charge more than $60,000 per participating employer per year. If the client engages AFS any time other than the first of the quarter, the fees for the first partial quarter will be billed in arrears. Thereafter, fees are billed quarterly in advance. Any management fees owed and due will be paid by the participating employers directly. No PEP funds will be used to pay for the subscription fee. Solo PEP AFS provides services to a PEP that is designed for independent contractors and 1099s with no employees which bills monthly. The trustee fee is 0.03% of plan assets per year, paid directly from the plan. The recordkeeping fee is $60 per year, paid directly from the plan. The subscription fee is $15 per month paid by credit card or ACH payment. IRA Platform Services For NextLevel IRA platform investment selection and monitoring services, AFS receives an annual platform-level advisory fee of 0.20% (20 basis points). This fee is charged monthly and paid quarterly in arrears, and is added to the IRA platform fees charged in connection with the account. In addition to AFS’s 0.20% annual advisory fee, IRA account holders will bear other fees and costs associated with the platform and investments, which may include: (i) platform/custody/recordkeeping fees charged by PenChecks; (ii) fees charged by the managed account provider, if elected; (iii) mutual fund or exchange-traded fund internal expenses; and (iv) account activity and administrative fees such as distribution fees, wire fees, close-out fees, paper statement fees, and other special service fees. These fees are disclosed in the applicable IRA platform documentation and are separate from AFS’s advisory fee. PEP fees and IRA platform fees may be negotiable in certain circumstances at the Firm’s discretion, unless otherwise required by contract or platform terms. Clients will pay fees and costs whether they make or lose money on their investments. Fees and costs will reduce the return on investments over time. Participant Education: AFS charges participating employers on a graded basis by the number of participants for Participant Education. If a third-party consultant or advisor is engaged by the participating employer, the fee for those services is the responsibility of the employer. The ultimate fee is based on the scope of engagement: AFS charges $250 for virtual enrollment meetings and one-time virtual meetings, a minimum annual fee of $500 for “access to an advisor,” and $1,000 for in-person group education meetings. The specific fee-paying arrangements are determined on a case-by-case basis and will be outlined in the signed advisory agreement. B. OTHER FEES AND PAYMENTS There may be additional fees or charges that result from the maintenance of or trading within a PEP participant account or an IRA account. These are fees that are imposed by third parties in connection with investments made through a PEP or IRA participant’s account, including but not limited to, no-load mutual fund 12(b)-1 distribution fees, and certain deferred sales charges on previously purchased mutual funds. These expenses may include management fees, custodian fees, brokerage commission, and legal and accounting fees. In some instances, AFS has negotiated the return of these fees to the participant account to the extent received by third parties. C. REFUND AND TERMINATION POLICY The PEP sponsor may terminate its agreement with AFS upon written notice to AFS. Upon termination, the management fee for any partial period shall be prorated and any unearned amount shall be refunded to the client as of the effective date of the termination when requested in a written communication to the Firm. For the IRA platform arrangement, AFS’s advisory fee is charged monthly and paid quarterly in arrears. Accordingly, upon termination, future fee accruals cease, and there generally would be no prepaid unearned fee to refund unless otherwise required under the applicable agreement or law. D. OTHER COMPENSATION The Firm will not receive any other compensation. |

ITEM 7 TYPES OF CLIENTS Our Firm provides services to the PEPs sponsored by our affiliate, AP, and to a third-party IRA platform in connection with IRA accounts established through that platform. For the PEPs, AFS is designated as the fiduciary responsible for selecting the investments or, if applicable, engaging one or more third-party 3(38) Investment Managers that are made available to PEP participants. For the IRA platform, AFS serves in a platform-level advisory capacity and is responsible for selecting and monitoring the platform investment menu and the third-party managed account provider made available through the platform, but does not select the specific investments chosen by an individual IRA account holder unless separately agreed in writing. There is no account minimum for any participant enrolled in the PEP, any IRA account minimum or other eligibility requirements are governed by the applicable platform. |
