Item 5. Fees and Compensation
In addition to the information provided in Item 4 Advisory Services, this section provides
additional details regarding Our services along with descriptions of Our fee and compensation
arrangements. It should be noted that lower fees for comparable service may be available from
other sources. The exact fees and other terms will be outlined in the agreement between the
client and Active Wealth Advisors.
A. Advisory and Consulting Fees
Active Wealth Advisors provides investment advisory and consulting services for a fee. Our fees
are generally based on a percentage of assets under management (AUM). In some instances, the
fee may be negotiable at Active Wealth Advisors’s discretion.
1. Investment Management Fees: Fees for portfolio management are typically charged as a
percentage of assets under management. The typical annual management fee charged by
Active Wealth Advisors is 1% of total assets under management.
Fees are calculated daily and billed either daily or monthly in arrears, as specified in the
advisory agreement, based on the Net Liquidation Value, as defined below, of the
portfolio at the end of each trading day. The daily fee is calculated by applying the
annualized fee rate to the Net Liquidation Value of the portfolio. This amount is then
prorated based on the number of business days in the billing period, using a standard 252
business days per year. The amount of the monthly bill will be the sum of the daily
charges.
The account’s Net Liquidation Value (“NLV”) is determined by Interactive Brokers LLC
(“IBKR”), the custodian We use to maintain client accounts. It is calculated differently for
three account segments:

Securities segment: NLV equals total cash value plus stock value plus securities options
value plus bond value plus funds value.
Commodities segment: NLV equals total cash value (including futures P&L) plus
commodities options value.
Cryptocurrencies segment: NLV equals total cash value plus cryptocurrency value.
Fees will typically be deducted directly from the client’s custodial account or invoiced
directly, as authorized in the client agreement. Clients may elect to be billed directly or to
have fees debited from their accounts.
Our receipt of an asset-based fee presents a conflict of interest. This is because the more
assets there are in the client’s account, the more We will be paid in fees. Therefore, We
have an incentive to encourage clients to increase the assets in their accounts. We
address this conflict of interest by ensuring any such recommendations are in the client’s
best interest.
Either party may terminate the advisory agreement at any time with written notice as
specified in the agreement.
B. Other Fees and Expenses
Clients may incur additional fees charged by third parties, such as commissions, transaction fees,
custody fees, mutual fund or ETF expenses, taxes, redemption charges, and other transactional
or product-level costs imposed directly by a custodian or a fund, which will be separately
disclosed. These fees are separate from and in addition to Our advisory fees. We do not receive
any portion of these third-party fees. |

Item 7. Types of Clients
Active Wealth Advisors currently provides investment advisory services to individuals and high
net worth individuals. We also offer our services to 401(k) plans, pension and profit-sharing plans,
trusts, estates, charitable organizations, corporations and other business entities, corporations
or businesses not listed above.
For individual accounts, Our minimum relationship opening balance is generally $1 million but
We may waive that at Our discretion. Minimum account sizes and fee schedules vary based on
the complexity of the relationship and the scope of services provided.
