Item 5 – Fees and Compensation

Portfolio Management Services

Clients are charged an annual fee calculated as a percentage of their assets under
management (AUM). Where we provide portfolio management services, we typically
charge an annual fee ranging from 0.35% to 2.25% of the value of their AUM. Advisor’s
fees are exclusive of brokerage commissions, transaction fees, and other related costs
and expenses which shall be incurred by the Client. Fees are payable monthly or quarterly
in advance and are based on the investment objective of the account, account type, size
and other factors.

Fees, minimum account sizes, and services are negotiable and may be waived under certain
circumstances. For example, Adviser, in its sole discretion, may charge a lesser (or no)
advisory fee based upon certain criteria (e.g., existing financial planning Client relationship,
anticipated future earning capacity, anticipated future additional assets, dollar amount of
assets to be managed, related accounts, account composition, negotiations with Client).

Adviser’s fees for these services are negotiable depending on the specific type of investment
management services to be rendered (as detailed in the advisory agreement).

Advisory fees are subject to negotiation. When negotiating fees, factors considered, but not
limited to, include: (i) clients with multiple accounts; (ii) size of the account; (iii) a prior or
existing relationship; and (iv) a client’s particular needs or financial characteristics. Since fees
vary, Clients with existing accounts may be charged fees not precisely matching the

foregoing fee schedules or the fees paid by other Clients.

Clients may elect to pay this fee directly or have the fee deducted monthly from
investment accounts. Please refer to Item 15 for information regarding fees deducted
from investment accounts.

One-twelfth (1/12) or One-fourth (1/4) of the total annual advisory fee (i.e., percentage
of assets under management) amount, prorated according to the date (“inception date”)
of execution of the Client Advisory Agreement “CAA” and the transfer of assets to our
Custodian, shall be paid in advance at the beginning of the calendar month or quarter in
which the initial meeting between us takes place. The remaining eleven monthly portions
or three quarterly portions of the annual fee amount shall be individually due and payable
by the Client at the beginning of each subsequent calendar month or quarter and such
arrangements shall continue in effect unless the CAA is properly terminated or otherwise
modified in accordance with the provisions of the CAA. Fees are based upon the market
value of the Client’s portfolio as determined by the custodian based on the ending
balance for the period, and will not match the statement you receive from the custodian
due to dividends, incoming contributions, outgoing withdrawals, settlement issues, etc.

If any advisory relationship begins after the first day of a month, or terminates before the
last day of a month, fees are prorated accordingly, and, in the event of termination, the
Client will receive a refund of any pre-paid fee attributed to any period after the
termination.

Certain accounts may establish procedures to pay our fees directly rather than through
a debit to the account.

Financial Planning

For financial planning defined service relationships, which are offered only in limited
circumstances, we charge a fixed fee ranging between $2,000 and $20,000. We will
invoice you directly for the payment of our fees which we require to be paid upon
completion of the financial planning assignment.

Other Advisory Services

For advisory services performed outside the scope of the financial planning or investment
management services described previously, we charge a fee of $500 per hour due upon
receipt of invoice. Fees and fee paying arrangements will be determined on a case-by-case
basis depending on the scope and complexity of the services to be performed. At no time will
we charge you three months or more in advance.

Payment of Fees

Contemporaneously with the execution of the CAA, Clients sign an authorization allowing
the custodian to debit such account(s) the amount of certain service fees owed to Advisor
and remit such fees to us. The authorization shall remain valid until a written revocation
of the authorization is received by us. In connection with this fee deduction process, the
following procedures shall be followed.

The custodian shall send to the Client a statement, at least quarterly, indicating

   •   all amounts disbursed from the account, and the amount of advisory fees paid
       directly to us.

   •   Clients may also choose to pay monthly or quarterly fees in advance to us directly by
       bank wire or check.

Other Fees

Our fees do not include brokerage commissions, transaction fees, and other brokerage
related costs and expenses that are paid by you. You may pay additional fees imposed
by custodians, brokers, and other third parties (for example, third party asset managers).
The advisory fee does not cover charges imposed by third parties for investments held in
the account. The advisory fee described above does not cover debit balances or related
margin interest or SEC fees or other fees or taxes required by law.

Clients may incur fees from the custodian selected to provide services related to record
keeping, tax reporting and statement production. These fees may include IRA and
retirement account annual fees, nominal trade ticket charges or banking fees. No portion
of these fees is retained by or remitted to us.

All of the other fees are exclusive of, and in addition to, Advisor compensation. Advisor
does not offset its fees with these charges.

We provide investment advisory services to individuals, high net worth individuals, trusts,
estates, charitable organizations, corporations, and business entities. We do not impose
a minimum balance.
