Item 5 Fees and Compensation
Portfolio Management Fees
Our annual fee for portfolio management services is based on a percentage of the assets we manage
on your behalf and is set forth in the following fee schedule ("Advisory Fee"):

Our Advisory Fee is billed and payable quarterly, in arrears, based on the balance in your account at
the end of the billing period (i.e., the calendar quarter). If the portfolio management agreement is
executed at any time other than the first day of a calendar quarter, our Advisory Fees will apply on a
pro-rata basis, which means that the Advisory Fee is payable in proportion to the number of days in the
calendar quarter for which you are a client. Our Advisory Fee is negotiable, depending on individual
client circumstances.

At our discretion, we may combine the account values of family members living in the same household
to determine the applicable Advisory Fee. For example, we may combine account values for you and
your minor children, joint accounts with your spouse, and other types of related accounts. Combining
account values may increase the asset total, which may result in your paying a reduced Advisory Fee
based on the available breakpoints in our above fee schedule. Clients of our portfolio management
services may, at our discretion, receive financial planning services and/or advisory consulting services
at reduced or no additional cost.

Separate and apart from our Advisory Fee and depending upon the SIMC Programs in which
you participate, SIMC may also charge you a program fee ("SIMC Program Fee") on account of the
advisory, custodial, and/or execution services they provide to your account. A general description of
the SIMC Program Fees incurred in connection with each SIMC Program can be located in SIMC's
Form ADV Disclosure Brochure.

We will deduct our Advisory Fee directly from your account held at the qualified custodian (SPTC or
Schwab). We will deduct our advisory fee only when you have given our firm written authorization
permitting the fees to be paid directly from your account. Further, the qualified custodian will deliver an
account statement to you at least quarterly. These account statements will show all disbursements
from your account. You should review all statements for accuracy.

You may terminate the portfolio management agreement upon 30 days written notice. You will incur a
pro rata charge for services rendered prior to the termination of the portfolio management agreement,
which means you will incur advisory fees only in proportion to the number of days in the quarter for
which you are a client.

Advisory fees charged by third party investment advisers are separate and apart from our advisory
fees. Assets managed by third party investment advisers will be included in calculating our advisory
fee, which is based on the fee schedule set forth above. Advisory fees that you pay to the third party
investment advisers are established and payable in accordance with the brochure provided by each
third party investment advisers to whom you are referred. These fees may or may not be negotiable.
You should review the recommended third party investment advisers' brochure and take into
consideration the third party investment advisers' fees along with our fees to determine the total
amount of fees associated with this program.

Financial Consulting Fees
Adviser's fees for financial consulting services are fixed advisory fees that typically start at $3,000 and
are dependent on the facts and circumstances of engagement. Fees for one time services are due
upon completion. Ongoing financial consulting services are paid quarterly in advance, however if you
are implementing your service through us, we will provide a credit against the retainer in the amount of
the asset management fee.

You may terminate the financial consulting agreement upon 30 days written notice to our firm. If you
have pre-paid financial consulting fees that we have not yet earned, you will receive a prorated refund
of those fees. If financial consulting fees are payable in arrears, you will be responsible for a prorated
fee based on services performed prior to termination of the financial consulting agreement.

Pension Consulting Fees
Our advisory fees for these customized services will be negotiated with the plan sponsor or named
fiduciary on a case-by-case basis and may include some combination of fixed fees and/or annual asset
based fees. For example, if we are engaged to provide both discretionary portfolio management
services and non-discretionary consulting services (i.e., educational seminars or portfolio monitoring
services) to the Plan, our fee for the discretionary portfolio management services portion of the
engagement would be in line with our annual asset based fee schedule (set forth above in Portfolio
Management Services) and our fee for the non-discretionary consulting portion of the engagement
would be a fixed fee in line with our fixed fee schedule (set forth above in Advisory Consulting
Services). In all cases, our fees for pension consulting services are payable quarterly, in arrears, and
will vary depending on the scope and complexity of the engagement.

You may terminate the pension consulting services agreement upon 30 days written notice to our firm.
You will incur a pro rata charge for services rendered prior to the termination of the agreement, which
means you will incur advisory fees only in proportion to the number of days in the quarter for which you

Item 7 Types of Clients
We offer investment advisory services to individuals (including high net worth individuals), pension and
profit sharing plans (but not the plan participants), charitable organizations, corporations, private
education institutions, and other business entities.

In general, we require a minimum of $500,000 to open and maintain an advisory account. At our
discretion, we may waive this minimum account size. For example, we may waive the minimum if you
appear to have significant potential for increasing your assets under our management.

We charge a minimum annual fee in the amount of $5,000 to open and maintain an advisory account.
At our discretion we may waive the minimum fee.

We may also combine account values for you and your minor children, joint accounts with your
spouse, and other types of related accounts to meet the stated minimum.
