Item 5 – Fees and Compensation

         The following paragraphs detail the fee structure and compensation methodology for services provided by the
         Advisor. Each Client shall sign one or more agreements that detail the responsibilities of AWAG and the Client.

         A. Fees for Advisory Services

         Investment Advisory Services
         Investment advisory fees are paid quarterly, in advance of each calendar quarter, pursuant to the terms of the
         investment advisory agreement. Investment advisory fees are charged at an annual rate ranging from 0.20% to
         3.75% depending on several factors, including the overall size of the relationship and the complexity of the
         services to be provided. Fees are based on the market value of assets under management at the end of the prior
         calendar quarter. These fee calculations will not include trading, taxes, capital distributions that will be calculated
         in by a sub-advisor or mutual fund. Nor is inclusive, ever, of additional consulting and or financial planning fees
         charged by the firm. Prorated fees will be assessed if clients engage between billing periods. Fees may also be
         assessed for asset deposits between billing cycles.

         SPECIAL NOTE PLEASE READ: Clients should be aware that when account valuations decline or money is
         withdrawn by request and or RMD, the calculation of the fee associated with the account DOES NOT CHANGE
         in the calendar month of the fee or ever, UNLESS the contract between client and AWAG is clearly amended to
         reflect this change. In Recent years, there is, IN THE OPINION OF AWAG, an attempt to insinuate that account
         declines for withdraw of Principle or valuation decline alter fees. They do not, in the opinion of our firm, and
         simply because a computer program may be monitoring such a change, until the contract is amended, AWAG
         will NOT adjust fees lower. Moreover, it has been the recommendation of the CEO/CCO that Principals of AWAG
         and accounts where they have a beneficiary interest be charged the same as clients. For Kevin J. Hughes and
         his direct retinue only, this is the case. It is his opinion as CEO/CCO that this is the ethical and highest standard
         approach to meet best business practices.

         This is a free market, and American Wealth Administration Group, LLC, AND ITS CLIENTS determine the type,
         date, nature, and AMOUNT of fees. Our clients and we determine the velocity of fees, NO ONE ELSE.

         Investment advisory fees in the first quarter of service are prorated from the inception date of the Client’s
         account[s] to the end of the first quarter. Fees may be negotiable at the discretion of the Advisor. The Client’s
         fees will take into consideration the aggregate assets under management with Advisor. All securities held in
         accounts managed by AWAG will be independently valued by the Custodian. AWAG will not have the authority
         or responsibility to value portfolio securities.

         AWAG also will adjust fees and suspend fees for clients during hardship or extraordinary circumstances such as
         Covid-19, or severe medical and or financial hardship. This is done on a case-by-case basis.

         AWAG with consent of the client, will or shall implement additional fees that are reasonable as the result of work
         and or Administration of the client relationship.

         Financial Planning Services
         AWAG offers financial planning services on either an hourly basis or a fixed engagement fee. Hourly
         engagements are billed at a rate of up to $250 per hour. Fixed fee engagements are negotiated based on the
         expected number of hours to complete the engagement at the Advisor’s hourly rate. Fees may be negotiable at
         the sole discretion of the Advisor, depending on the nature and complexity of services to be provided. A financial
         planning service agreement is provided by AWAG which specifically identifies expenses and fees and whether
         they will be assessed by the hour or through set fees annually, semi-annually or quarterly. Financial Planning
         agreements enabled through a set fee program may require that the client pay the first year fee at the time the
         agreement is signed and a quarterly, semi-annual or annual fee assessed the year after the initial fee is paid
         depending on the agreement. The Advisor’s fee is exclusive of, and in addition to, brokerage fees, transaction
         fees, and other related costs and expenses, which may be incurred by the Client. However, the Advisor shall not
         receive any portion of these commissions, fees, and costs. The hourly fees are determined after considering
         many factors, such as the level and scope of the services.

         B. Fee Billing
         Investment Advisory Services
         Investment advisory fees will be calculated by the Advisor and automatically deducted from the Client’s
         account[s] by the Custodian. The Advisor shall send an invoice to the Custodian indicating the amount of the
         fees to be deducted from the Client’s account[s] at the respective quarter-end date. The amount due is
         calculated by applying the quarterly rate (annual rate divided by 12) to the total assets under management with
         AWAG at the end of each quarter. Clients will be provided with a statement, at least quarterly, from the
         Custodian reflecting deduction of the investment advisory fee. Clients provide written authorization permitting

Item 7 – Types of Clients

          AWAG offers investment advisory services to individuals, high net worth individuals, families, trusts, estates, and
          businesses in New York and other states. The relative percentage of each type of Client is available on AWAG’s
          Form ADV Part 1. These percentages may change over time. AWAG generally does not impose a minimum
          account size for establishing a relationship. However, smaller accounts may be subject to different investment
          selection and strategies.
