Item 5 – Fees and Compensation
ArrowMark Financial Corp. (“BANX”)
Pursuant to a management agreement, ArrowMark charges management fees based
upon BANX’s managed assets, calculated and paid quarterly in arrears within fifteen days
of the end of each calendar quarter. The management fee for any partial quarter will be
appropriately prorated.
The specific manner in which fees are charged by ArrowMark is established in BANX’s
most recent Prospectus. The management fee is paid pursuant to a management
agreement and is not negotiable.
